TopGum Industries, an Israeli manufacturer of dietary supplements in gummy form, has signed a binding letter of intent to acquire United States operations specialising in pharmaceutical and dietary supplement gummies, the company announced in January 2026. The deal combines cash and equity valued at up to $37 million, including contingent consideration.

The purchase takes TopGum into the pharmaceutical business for the first time. It includes a US facility with production lines built to comply with the American Food and Drug Administration's requirements for pharmaceutical-grade gummies containing active pharmaceutical ingredients: that is, chewable sweets carrying a licensed drug rather than a vitamin.

The regulatory line the company is crossing

The distinction between a supplement and a drug is the whole point of the transaction. Under the Dietary Supplement Health and Education Act of 1994, manufacturers and distributors of dietary supplements sold in the United States are responsible for evaluating their own products' safety and labelling before marketing them, and the Food and Drug Administration acts against products that prove to be adulterated or misbranded rather than clearing them in advance. Pharmaceuticals work the opposite way round, requiring approval before sale and manufacture to drug-grade standards. A plant certified to make gummies containing active pharmaceutical ingredients is therefore a materially different asset from a supplement line, which is why a company that has spent two decades in supplements would pay to acquire one rather than build it.

Who TopGum is

TopGum was established in 2004, is listed on the Tel Aviv Stock Exchange under the ticker TPGM, and employs more than 400 people across manufacturing sites in Israel and Canada, according to the company's own announcement distributed by PR Newswire, which dated the letter of intent to 21 January 2026 and broke the consideration into cash at closing, shares, and contingent payments tied to sales targets. Its Israeli plant is in Sderot, a town on the Gaza border.

What happened to the deal

The letter of intent turned into a completed purchase. TopGum announced on 5 May 2026 that it had closed the acquisition of the United States gummy manufacturing operations of P&L Developments, an American over-the-counter pharmaceuticals company, at a total consideration the company then put at up to $35 million rather than the $37 million cited when the letter was signed. Under the completed arrangement the seller agreed to commercialise and distribute TopGum-manufactured products to large American retailers under store-brand labels, giving the Israeli manufacturer a route to shelf space as well as a factory. The company said the acquired plant's existing infrastructure would allow production capacity to be doubled by adding lines without a large further capital outlay.

What the announcement did not say

The January announcement did not name the American company or the facility being acquired, did not say where in the United States it is, and did not give a completion date or the conditions the binding letter of intent depended on. It did not break the up-to-$37 million figure into its cash, equity and contingent components, nor state what had to happen for the contingent portion to be paid, and the headline value quoted at signing and at completion differ, without an explanation in either document.
