פסק-דין

הצדדים התקשרו בהסכם למתן שירותי פרסום למשיבה בשנת 2008, זאת לאחר שהמערערת זכתה במכרז למתן שירותים אלה. בחלוף אותה שנה, המשיבה לא ראתה לממש אופציה שהיתה מוקנית לה בחוזה בין הצדדים, להארכת תוקף ההתקשרות לתקופה נוספת, ופרסמה מכרז למתן שירותי פרסום בשנת 2009 (להלן – המכרז החדש). המערערת הגישה לבית המשפט לעניינים מינהליים בחיפה עתירה, בגדרה ביקשה למנוע מהמשיבה פרסום מכרז חדש. המערערת טענה כי תקציב הגג המתוכנן למימון שירותי הפרסום בסך של כ-23.5 מליון ש"ח לא מומש במלואו, זאת בחוסר תום לב. לפיכך היה על המשיבה לממש את האופציה ולהאריך את ההתקשרות עמה לתקופה נוספת.

בית המשפט לעניינים מינהליים קבע כי לפי לשון המכרז, תקציב הגג המתוכנן הינו נתון הנמסר לצרכי מידע בלבד ואין הוא מחייב את החברה. החוזה עצמו נכרת לתקופה של שנה אחת, והאופציה להארכתו נתונה למשיבה ולה בלבד. למערערת אף עומד סעד חלופי בכל הנוגע להפרות הנטענות מצד המשיבה. בנסיבות אלה לא ראה בית המשפט להתערב בהחלטת המשיבה ודחה את העתירה.

לאחר דחיית העתירה, נמשכו הליכי המכרז החדש, בו השתתפה גם המערערת. הצעתה של המערערת לא התקבלה ובמכרז זה זכתה חברה אחרת (מקאן אריסון), אשר נותנת לחברת החשמל את שירותי הפרסום.

לפנינו ערעור שהגישה המערערת על פסק דינו של בית המשפט לעניינים מינהליים.

לאחר ששקלנו את טיעוני הצדדים, לא ראינו להכריע בטענה שעניינה הפרת חוזה ההתקשרות לשנת 2008. בנושא זה עומד למערערת סעד חלופי, בדרך של תביעה לפיצוי שהיא רשאית להגיש לבית המשפט המוסמך, בגדרה תוכל להבחן המחלוקת העובדתית רחבת ההיקף שהוצגה לפנינו על ידי הצדדים.

נוכח נוסחה של ההוראה שבחוזה המקנה את האופציה להארכתו לחברת החשמל, ולה בלבד, וכלל הנסיבות, לא מצאנו עילה להתערב בפסק דינו של בית המשפט קמא, שלא ראה להורות על ביטול המכרז החדש; מה גם שהזוכה במכרז החדש – שההליכים בו הסתיימו לאחר שניתן פסק הדין קמא – אינה צד להליך שלפנינו.

הערעור נדחה.

המערערת תשלם למשיבה שכ"ט עו"ד בסך 20,000 ש"ח.
