1.הערעורים שלפנינו עוסקים במכרז של הרשות הממשלתית למים ולביוב (להלן: רשות המים או הרשות) להקמה ולתחזוקה של מערכת ארצית לניטור מרחוק של משאבי מים. מדובר במכרז בהיקף כספי נכבד (הערכה המוקדמת של המכרז עמדה על סכום של כ-15 מליון ש"ח וההצעות נעו בין 12 מליון ש"ח ל-20 מליון ש"ח). למכרז ניגשו 4 מציעות - ליד בקרה בע"מ (להלן: ליד); אפקון בקרה ואוטומציה בע"מ (להלן: אפקון); מר טלקום בע"מ (להלן: מר טלקום); ואלקו התקנות ושירותים (1973) בע"מ (להלן: אלקו). ועדת המכרזים של רשות המים קבעה (ועוד נעמוד על עניין זה בפירוט) כי בשל התנהלות רשות המים אין לדקדק בפגמים שהתגלו בערבויות שניתנו על ידי המציעות השונות במסגרת המכרז. לאחר מכן בחרה הרשות בהצעתה של ליד, שהיתה ההצעה הזולה ביותר, ושעמדה על סכום של כ-12 מליון ש"ח. ההצעות של המציעות האחרות עמדו על הסכומים הבאים, בסדר עולה: אפקון כ-16.53 מליון, מר טלקום כ-17.82 מליון ש"ח ואלקו כ-19.75 מליון ש"ח.

2.עם היוודע תוצאות המכרז החלה, כמקובל במקומותינו, מלחמת גוג ומגוג כשכל אחת מן המציעות העלתה בפני רשות המים, ואחר כך בפני בית המשפט לעניינים מנהליים (השופט ק' ורדי) שלל טענות נגד המציעות האחרות. כל אחת מהמציעות טענה כי על הזכייה במכרז ליפול בחלקה. בית המשפט לעניינים מנהליים קבע כי היה מקום לדקדק בסוגיית הערבות, וכי ועדת המכרזים שגתה בכך שלא עשתה כן. בית המשפט קבע כי הצעותיהן של ליד, אפקון ומר טלקום פסולות וזאת בשל פגמים שונים בערבויות שהגישו. רק ערבותה של אלקו נמצאה כשרה בעיני בית המשפט. כיוון שהצעתה של אלקו נותרה ההצעה היחידה, קבע בית המשפט כי יש לאפשר לוועדת המכרזים לשקול האם לבטל את המכרז, בשל כך שנותרה הצעה יחידה, או שיש להכריז על אלקו כזוכה במכרז, בהתאם להצעתה המקורית או בהתאם להצעה בתנאים המיטיבים עם עורך המכרז, כאמור בתקנה 23(א1) לתקנות חובת המכרזים, התשנ"ג-1993.

2.מכתבי הטענות שלפנינו עולה כי לאחר פסק דינו של בית המשפט המחוזי, ולאחר שבית משפט זה לא נעתר לבקשת אפקון במסגרת ערעורה ליתן סעד זמני (החלטת השופטת ארבל מיום 11.5.2011) – פעלה רשות המים לבחינת ההתקשרות עם אלקו, כאמור בפסק הדין. רשות המים ראתה חשיבות לאומית בקידום הפרויקט, שהמכרז לגביו הוצא עוד בשלהי 2009, והרשות ביקשה למנוע עיכובים נוספים. על כן, אפשרה הרשות לאלקו להגיש הצעה משופרת, וזו הגישה הצעה מטיבה שעמדה על כ-16 מליון ש"ח. על בסיס זה, החליטה ועדת המכרזים לקבל את הצעתה המשופרת של אלקו ולחתום עמה על ההסכם. במסגרת ההסכם שנחתם עם אלקו בנובמבר 2011 כלולה הוראה מפורשת לפיה אלקו תאפשר, במידת הצורך, את החלפתה אם כך יתבקש מההכרעה בערעורים שלפנינו. עובדת חתימת החוזה עם אלקו הובאה לידיעת המשתתפים האחרים רק בסיכומי רשות המים שהוגשו לבית משפט זה ביום 7.11.2011, ועל כך הביעו הצדדים בהליך לפנינו תרעומת. יהא הדבר אשר יהא, אין בפנינו (או בפני בית המשפט לעניינים מנהליים) הליך נוסף בעניין החלטתה המאוחרת של ועדת המכרזים. ועדת המכרזים החליטה, לאחר פסק דינו של בית המשפט המחוזי, כי אלקו תבצע את העבודה על פי הצעתה המשופרת. מה שעומד לבחינתנו הוא פסק הדין של בית המשפט המחוזי. לפיכך, נבחן את הסוגיות שלפנינו לאור עמדת רשות המים ובהנחה שאין בהחלטת ועדת המכרזים מעשה עשוי שהוא בלתי הפיך.

מפת הדרכים להכרעה:

3.עמדנו על נקודות הציון העיקריות בהכרעה לגבי תוצאות המכרז. עוד נחזור לפרטים שלא הובאו עד כה. נראה כי בהתעלם מטעמים נוספים שהעלו הצדדים זה כנגד זה, שלשיטתי אינם רלבנטיים להכרעה, ניצבות בפנינו שתי שאלות הטעונות הכרעה. השאלה הראשונה היא האם היה מקום להתערבותו של בית המשפט המחוזי בהחלטת ועדת המכרזים שלא לדקדק בענייני הערבויות במכרז זה. בהנחה שלא היה מקום להתערבות כזו – התוצאה תהא כפי שקבעה ועדת המכרזים, שליד היא הזוכה במכרז, כהיות הצעתה ההצעה הזולה ביותר. אם לעומת זאת נגיע למסקנה, ואציע לחברי לקבוע כי זו אכן המסקנה המתבקשת, כי בית המשפט המחוזי צדק בכך שהתערב בהחלטת ועדת המכרזים שלא לדקדק בשאלת הפגמים בערבויות במכרז זה, תתעורר שאלת הפגמים בערבות לגופה. לטעמי, וכפי שאבאר, פשוט וברור הוא כי הצעותיהן של ליד ושל מר טלקום הצעות פגומות הן. לשתי ההצעות פגם משותף עליו ארחיב עוד את הדיבור – הגשת ערבות שאיננה בנוסח המצורף למכרז. נוסח הערבות שהגישו ליד ומר טלקום איננה כוללת הוראה לבנק להאריך את המכרזים ב-4 חודשים, אם ידרוש זאת בעל המכרז. בהצעת ליד פגם נוסף – ננקב בה תאריך 15.3.2011 כמועד עד אליו תעמוד הערבות בתוקף במקום התאריך הנכון, ה-1.4.2011. הערבות בהצעתה של אפקון מעוררת סוגיה אחרת, היא סוגית הערבות המטיבה: הזמן בו הערבות או הארכת הערבות עומדים בתוקפם לפי הצעת אפקון ארוך ב-19 יום מהנדרש במכרז. בעוד הערבויות של ליד ומר טלקום ערבויות מרעות הן, ובעיני פשוט וברור הוא כי דינן היה להיפסל, מעורר הפגם בערבותה של אפקון סוגיה אחרת - האם יש לפסול ערבות מטיבה. השאלה השניה הנשאלת היא, איפוא, האם הערבות המטיבה פוסלת את הצעת אפקון. אם תאמר כי התשובה היא בחיוב, המסקנה תהא כי אין מקום להתערב בפסק דינו של בית המשפט המחוזי, ולאור ההחלטה המאוחרת של ועדת המכרזים תיוותר הזכייה בידי אלקו. אם, לעומת זאת, נקבע כי אין בערבותה של אפקון פגם המביא לפסול - אפקון צריכה לזכות במכרז, ובכפוף לטענות נוספות לגבי הצעתה לגופה – יש להכריז עליה כעל הזוכה במכרז. הגעתי לכלל מסקנה כי גם ערבותה המטיבה של אפקון – ערבות פסולה היא, וכי כפועל יוצא מכך, יש להותיר את פסק דינו של בית המשפט המחוזי על כנו.

4.שרטטתי מפת דרכים להכרעה והראיתי כיצד מתפצלות הדרכים. עתה, במסגרת הדיון בשתי השאלות שהעליתי יש צורך לעשות zoom in למפה ששורטטה, ולעמוד על פרטים עליהם רק רמזתי, שעד כה נעלמו מן העין.

השאלה הראשונה: האם היה מקום להתערב בהחלטת ועדת המכרזים שלא לדקדק במכרז זה בענייני הערבות?

5.כדי להשיב על השאלה יש לעמוד ביתר הרחבה על דרישות המכרז מחד, ועל הערבויות של ליד, מר טלקום ואפקון מאידך. בנוסף, יש להבהיר מדוע ראתה ועדת המכרזים שלא לדקדק במכרז זה בשאלת הערבות.

6.סעיף 8 למכרז קבע כי הצעה שתוגש במסגרתו תהיה בתוקף במשך 4 חודשים מהמועד האחרון להגשת הצעות, וכי תוקף ההצעה יוארך ב-4 חודשים נוספים על פי דרישת המזמין בהודעה מוקדמת של המזמין אל המציע עד 10 ימים לפני פקיעת ההצעה. ההוראות בעניין הערבויות המצויות בסעיף 7 למכרז מנוסחות בהתאמה להוראות בעניין תוקף ההצעה. על פי סעיף 7.1 על המציעים לצרף ערבות בנקאית או ערבות חברת ביטוח אוטונומית בנוסח המפורט בנספח נ1 למכרז, בסך 300,000 ש"ח. סעיף 7.4 קבע:

"7.4 תוקף ערבות המכרז יהיה לתקופה של 4 (ארבעה) חודשים מהמועד האחרון הקבוע להגשת הצעות, דהיינו עד ליום 15/03/2010 המזמין רשאי לדרוש את הארכת תוקף ערבות המכרז למשך 4 חודשים נוספים והמציע יהיה חייב במקרה כזה להאריך את תוקפה. מציע אשר לא יאריך את תוקף ערבות המכרז כאמור, הצעתו תפסל."

כפי שנראה בהמשך הדברים, התאריך הנקוב בסעיף 7.4 השתנה שוב ושוב, ועמד בסופו של דבר על התאריך 1.4.2011.
