1.ביסוד ערעור זה מחלוקת בעניין שיעור זכויות הבעלות של הצדדים בחלק מחלקת מקרקעין. פסק הדין בעניין ניתן בבית המשפט המחוזי בתל אביב-יפו, ביום 12.11.2006 על ידי כב' השופטת נ' אחיטוב (ה"פ 387/04).

2.המשיב, דני עזרא (להלן: עזרא), והמערער, יצחק שי (להלן: שי) ניהלו יחד, בין השנים 2001-1987, שותפות בלתי רשומה של סוכנות למשקאות קלים. השותפות רכשה בשנת 1988 יחד עם אחרים מקרקעין (במושע). שטחה הכולל של החלקה הוא 11,880 מ"ר. ביום 25.9.1990 נרשם המכר בלשכת רישום המקרקעין. עזרא נרשם כבעלים של 1/3 מהשטח השייך לשניים (199/2970 מהשטח השייך לשותפים כולם, שהם 796 מ"ר) ואילו שי נרשם כבעלים של 2/3 (1591/11880 מכלל השטח, שהם 1,591 מ"ר).

3.לימים התגלע סכסוך קשה בין השותפים והשותפות פורקה. בין השניים התנהלו הליכים משפטיים שונים. ההליך שבפנינו נוגע לחלוקה הפנימית שבין השניים בחלקם המשותף במקרקעין. עזרא הגיש המרצת פתיחה בה ביקש להצהיר כי חלקו הנכון הוא 70% מזכויות השותפות במקרקעין, וחלקו של שי הוא 30%. לאחר שמיעת הראיות קיבל בית המשפט את טענתו של עזרא. בית המשפט קבע כי מסכת הראיות שהובאה תומכת בגרסתו העובדתית של עזרא, על פיה הוסכם בין השותפים כי חלוקת הזכויות ביניהם במקרקעין תהא תואמת לחלוקת הזכויות בשותפות כולה, דהיינו 70% לעזרא ו-30% לשי. בית המשפט הורה על תיקון הרישום במרשם המקרקעין בהתאם. על כך מערער שי לפנינו. שי טוען כי לא היה מקום להורות על שינוי הרישום, וכי הרישום מתאר נכונה את המוסכם. לדברי שי מ דובר בשתי יחידות שאין ביניהן רצף. באחת - ששטחה 1,591 מ"ר לו ולעזרא חלקים שווים. השנייה - ששטחה 796 מ"ר, שייכת לו בלבד והוא רכש אותה מכספו.

4.לאחר קריאת סיכומי הצדדים, שמיעת טענות על פה ועיון בפרוטוקול ובחומר הראיות, דעתי היא כי אין מקום להתערבות של ערכאת הערעור בקביעות שבעובדה של הערכאה הדיונית, ואציע לחברי לדחות את הערעור.

5.שי טוען, כטענה משפטית, שהנטל שצריך היה להיות מוטל על עזרא בערכאה הראשונה הוא נטל כבד. הוא מצביע על כך שלטענת עזרא מ דובר בטעות מהותית שארעה מחוץ למרשם, ובשים לב לכך שהרישום תאם את הרישום בשטרי העברת הזכויות ובוצע על ידי עורך דין שייצג את שני הצדדים לעסקה. התיק במשרדו של אותו עורך דין בוער בחלוף השנים. בנסיבות אלה, כך טען שי, ניתן היה לצפות שעזרא יציג ראיות חזקות כגון הסכם שיתוף, אולם הדבר לא נעשה. לעניין זה ציין בית המשפט בפסק דינו, בעקבות פסק הדין בעניין חיים (ע"א 5793/96 חיים נ' חיים, פ"ד נא(5) 625 (1997)), כי בשים לב לכך שמ דובר בצדדים קרובים לעסקת המקרקעין ולא בצדדים שלישיים – הנטל שהוטל על עזרא הוא כנטל המוטל במשפט אזרחי. מקובלת עלי הכרעתו של בית המשפט בעניין זה, אכן – עזרא ושי הינם צדדים קרובים לעסקת המקרקעין, ביניהם אין תחולה לתקנת השוק, וחל בעניינם נטל ההוכחה הרגיל (ראו: עניין חיים לעיל, 634; ע"א 109/87 חוות מקורה בע"מ נ' חסן, פ"ד מז(5) 1, 16 (1993); ע"א 371/85 פיליפ נ' רוזנברג, פ"ד מב(1) 584, 596 (1988)).

6.כאמור, דעתי היא כי יש לדחות את השגותיו של שי באשר לקביעות שבעובדה של בית המשפט קמא. בהסכם המכר שנעשה בין המוכר לבין מספר רוכשים ובהם שני בעלי הדין שלפנינו, לא נקבע שיעור זכויותיהם של בעלי הדין שלפנינו במקרקעין. בפני בית המשפט היו מונחים מספר נוסחים של מה שנחזה כהסכם שיתוף בין בעלי הדין. אין ספק כי הסכם השיתוף המקורי הוא מסמך רב חשיבות, שיכול היה לסייע להבנת היסוד שעל פיו נעשה הרישום בלשכת רישום המקרקעין. ואולם, בית המשפט לא היה מוכן לסמוך ידו על אף אחד מהסכמי השיתוף עליהם ביקש שי להסתמך. לבית המשפט הוגשו העתקים צילומיים של המסמכים ללא חתימות על כל דף ודף. בית המשפט ציין לעניין זה כי אין לייחס תוקף לנוסחים בלתי חתומים אלו, אליהם הפנה שי, ואין לראות בהם דבר פרט לעובדה שיתכן ומטיוטות אלה נבעה הטעות ברישום שטר המכר. כזכור התיק של עורך הדין שטיפל ברישום – בוער. לדעתי אין מקום להתערב במסקנה לפיה לבית המשפט לא הוגש הסכם השיתוף המקורי.

7.בית המשפט לא קיבל טענה שהעלה, כזכור, שי לפיה הוא רכש בנפרד חלק מן החלקה, עליו היתה לו לטענתו בעלות מלאה (ובחלק אחר ישנה לשותפות בעלות משותפת). בית המשפט ציין לעניין זה כי לגרסת שי הרכישה של החלקה הנזכרת מומנה באמצעות הלוואה שנתן לו אביו מכספי פיצויים שקיבל. אך שי לא הביא לעדות את אביו, ולא הציג כל מסמך ממקום העבודה שלו בנוגע לפיצויים. שי מלין בערעורו על הנמקה זו ומציין שאביו נפטר כמה שנים לפני ההליך. אכן, בתצהיר שהוגש לערכאה הראשונה ציין שי כי את ההלוואה קיבל מאביו המנוח. לכאורה יש ממש בתרעומת זו, ולא היה מקום לצפות כי שי יביא לעדות את אביו. עם זאת, שי יכול היה וגם צריך היה להביא מסמך ממקום עבודתו של האב בדבר קבלת פיצויים, או להביא מסמך אחר לפיו האב העביר אליו כסף, כאישוש לטענה לפיה קנה חלק מהחלקה לעצמו בלבד בכספים שלו. מותר היה לבית המשפט שלא לקבל את טענתו של שי שנעדרה כל אישוש, לפיה הוא רכש לעצמו חלק מן החלקה. מכאן שהמסקנה לפיה חלוקת הזכויות בחלקה זהה לחלוקת הזכויות בשותפות – סבירה היא.

8.לעניין זה נתן בית המשפט משקל לראיותיו של עזרא, לפיהן השותפות התבססה על חלוקת הון ביחס של 70% לעזרא ו-30% לשי, והבעלות בחלקה התחלקה באותו שיעור. טענה זו נתמכה במסמכים ששי עצמו הגיש לרשויות המס. עזרא הצביע על כך ששי ציין בהצהרות הון לשנים 1995 ו-2000 כי חלקו שלו (של שי) ברכוש השותפות הוא 30% וכי רכוש זה כולל את המגרש החקלאי נשוא ההתדיינות. גם לדעתי יש ליתן משקל רב לעולה מהצהרות ההון, כפי שעשתה הערכאה הראשונה. מתיק הערכאה הראשונה עולה כי שי עשה ניסיונות בלתי פוסקים, שלא להציג את המסמכים הנוגעים לרשויות המס. דווקא משנאלץ שי בסופו של דבר למסור את המסמכים - יש משקל רב לעולה מהם.

9.לא התעלמתי מטענה אחרת של שי לפיה במכתבים שונים של באת כוחו של עזרא נטען כי זכויות הצדדים במקרקעין שוות. ואולם, בית המשפט קיבל את תשובת באת כוחו של עזרא, עליה חזרה גם בפנינו, כי מ דובר בטעות שלה שנעשתה בטרם למדה את פרטי העניין. לא מן המותר להעיר: שי טוען כי הרישום נכון, ואין הוא מסכים "לגרסה" בדבר שוויון בזכויות העולה ממכתבים אלה של באת כוחו של עזרא. בצדק סבר בית המשפט כי אין בטעות של באת כוחו של עזרא אותה הזכרתי "כדי לשנות את מצב הדברים עליהם הצהיר וחתם המשיב (שי – מ.נ.) בדו"חות המס".

10.לדעתי מותר היה לערכאה הראשונה ליתן משקל מכריע לשיעורי החלוקה בין השותפים בשותפות, ולדיווחים לרשויות המס, ולא ראיתי יסוד להתערב בקביעות שבעובדה שקבעה הערכאה הראשונה.

אציע לחברי לדחות את הערעור. המערער ישלם למשיב הוצאות ושכ"ט עורך דין בסך 20,000 ש"ח.
