ערעור על פסק דינו של בית המשפט המחוזי בתל-אביב-יפו מיום 8.11.07 (כבוד השופטת ע' ברון) בה"פ 325/02.

1.המערער והמשיב 2 (להלן: אמנון) הם אחים, וביחד עם קרובי משפחה נוספים בשם דדון, בדוס וחקשורי, היו הבעלים של חברה בשם בדוס תעשיות ושיווק בשר (1988) בע"מ (להלן: בדוס תעשיות) שניהלה את עסקיה באשדוד. אמנון החזיק בנאמנות עבור בדוס תעשיות או עבור בדוס אישית ב-70% ממניותיה של חברה בשם בשר מעולה בע"מ (להלן: בשר מעולה) שניהלה את עסקיה בחולון ו-30% מהמניות הנותרות הוחזקו על ידי אחד בשם פלג. בשלב מסוים, נקלעה בדוס תעשיות לקשיים ובהסכם שנערך בחודש ינואר 1991 הוסכם על "פיצול כוחות" באופן שבדוס תעשיות תעבור לשליטתם של דדון ובדוס, שרכש את מניותיהם של המבקש אמנון וחקשורי, ואילו חלקו של בדוס בבשר מעולה יועבר למבקש, לאמנון ולחקשורי (להלן: ההסכם), שהתחייבו לכסות את חובות בדוס לבנק הפועלים. בפועל, נרשמו חקשורי ואמנון כבעלים של 35% כל אחד ממניות בשר מעולה.

בשנת 2003 עתר המבקש ל בית משפט קמא בתביעה לפסק דין הצהרתי כי הוא זכאי למחצית מהמניות המוחזקות על ידי אמנון בבשר מעולה (קרי, 17.5%) וכי מכוח מניות אלה הוא זכאי לשורה של סעדים להסרת קיפוח המיעוט לפי סעיף 191 לחוק החברות, התשנ"ט-1999.

2.בית משפט קמא דחה את טענת המערער כי אמנון מחזיק עבורו בנאמנות במחצית מהחזקותיו במניות בשר מעולה. משנדחתה טענה זו, ממילא לא נדרש בית המשפט לסעדים הנוספים שנתבעו על ידי המערער. בפסק דינו, עמד בית משפט קמא על כך שלשון ההסכם אינה תומכת בגרסת הנאמנות של המערער; כי עדותו של המערער היא עדות יחידה של בעל דין ובית המשפט לא התרשם מאמינותו ומגרסתו בעוד שמול עדותו עומדות עדויותיהם של אמנון, חקשורי ופלג; וכי המערער נמנע מלהעיד את אחיו אריה, את אביו ואת עו"ד חבשוש שערך את ההסכם.

3.על כך נסב הערעור שבפנינו, במסגרתו תלה המערער את עיקר יהבו בשיחה בינו לבין אמנון שהוקלטה על ידו, והמערער עתר בבקשה להצגת התמליל כראיה נוספת בערעור. אציין כי המערער ביקש להגיש את התמליל כבר במהלך שמיעת הראיות ב בית משפט קמא, אך מאחר שלא עלה בידו להמציא את הקלטת עצמה, למרות שלגרסתו הייתה מצויה בידו, משך לבסוף את התמליל מתצהירו, ו בית משפט קמא זקף לחובת אמינותו גם התנהלות זו. לגישתו של המערער, תמליל השיחה מוכיח באופן ניצח את גרסתו ולכן יש לקבל את הערעור.

4.פסק דינו של בית משפט קמא מושתת על ממצאים שבעובדה ובמהימנות, שאין דרכה של ערכאת ערעור להתערב בהם ואיני רואה כי הערעור דנן נופל לאחד החריגים לכלל זה. לא בכדי התמקד אפוא המערער בדיון שבפנינו בבקשתו להגשת התמליל כראיה נוספת בערעור.

המערער חטא בכך שצירף את התמליל עצמו לבקשה להבאת ראיה נוספת ובכך הקדים נעשה לנשמע, בניגוד לנהלים הנוגעים להבאת ראיה נוספת. המערער גם נתפס באי דיוק בתצהיר שצורף בתמיכה לבקשה. הנה כי כן, בסעיף 4 לתצהירו מיום 10.6.09 הצהיר המבקש כי "אך לאחרונה ולאחר מאמצים עילאיים, הגיע לידי המערער תיעוד מוקלט של השיחה..." (הדגשה שלי – י.ע.). ברם, בתצהיר מיום 8.3.08 שניתן על ידי המערער בפני בא כוחו הקודם בתמיכה לבקשתו לביטול מחיקת הערעור, הצהיר המערער "כי נמצאה הקלטת שאבדה במהלך הדיונים ב בית משפט קמא...". דומני כי 15 החודשים שחלפו בין התצהירים אינם יכולים להיחשב "לאחרונה" כפי שנכתב על ידי המערער בתצהיר התומך בבקשה להבאת ראיות נוספות. לא למותר לציין כי המערער אף לא טרח לציין בבקשה מתי הוקלטה השיחה, ורק במהלך הדיון טען כי השיחה הוקלטה בשנת 1998.

5.ועיקרו של דבר. במהלך הדיון בפנינו, אפשרנו למערער לטעון גם על סמך תמליל הקלטת ומבלי לקבוע מסמרות לגבי קבלתה כראיה נוספת בערעור. מעיון בתמליל עולה כי לא ניתן להסיק ממנו מסקנה חד-משמעית התומכת בגרסתו של המערער. אכן, ניתן להצביע על התבטאויות כאלה ואחרות של אמנון במהלך השיחה, מהן ניתן להבין כי המערער היה אמור להיות שותף עמו בהחזקותיו בבדוס תעשיות. מנגד, הויכוח שמתנהל בין השניים במהלך השיחה תומך בגרסתו של אמנון לפיה הייתה כוונה כי המערער יקבל מניות בבשר מעולה, אך בכפוף לכך שישתתף אף הוא בתשלום חובות בדוס תעשיות כפי שנקבע בהסכם וימשיך לעבוד בבשר מעולה ובחנות שהופעלה על ידה, מה שלא נעשה על ידו. במהלך השיחה אמנון מטיח במערער כי הוא עצמו הסתפק במשכורת זעומה באותה תקופה בעוד שהמערער לא הסכים להמשיך לעבוד במשכורת זו והלך לעבוד במקום אחר. ובקיצור, אין בתמליל הקלטת כדי להפוך את הקערה על פיה כטענת המערער.

6.למעלה מן הצורך אציין כי גם הגיונם של דברים תומך במסקנת בית משפט קמא, באשר קשה להלום שהמערער היה מוחל על זכויותיו משך 12 שנים מבלי לעשות דבר בנדון. מבלי להידרש לשאלת ההתיישנות והשיהוי, דומה כי יש ממש בטענת המשיבים כי רק לאחר שנים רבות, במהלכן השקיעו עבודה מאומצת בבשר מעולה והפכו אותה לעסק העומד על רגליו, "נזכר" המערער להעלות טענה לזכויות במניות החברה.

7.סופו של דבר שדין הערעור להידחות. המערער ישא בשכ"ט המשיבים בסך 20,000 ₪.
