השופט א' גרוניס:

1.ערעור על פסק-דינו של בית המשפט המחוזי מרכז (כב' השופט א' יעקב) מיום 27.4.2010. עניינו של הערעור בפרשנות סעיף 200א לפקודת המכס [נוסח חדש] (להלן – פקודת המכס). סעיף זה מסמיך את מנהל אגף המכס והבלו ברשות המסים (להלן – מנהל המכס) לעכב שחרור מהמכס של טובין שיובאו לישראל, המפרים לכאורה זכות יוצרים או זכות בסימן מסחר. העיכוב מותנה בשני תנאים: תנאי אחד הוא כי בעל הזכות בקניין רוחני, אשר הטובין מפרים לכאורה את זכויותיו (להלן – בעל הזכות), נקט הליך משפטי נגד היבואן. תנאי נוסף לעיכוב, הוא כי בעל הזכות יפקיד ערבות בנקאית. הסוגיה המתעוררת בערעור דנא נוגעת למהותה של ערבות זו ולמצבים בהם רשאית רשות המסים לממש אותה.

2.נתאר תחילה את עובדות המקרה הצריכות לעניין. המשיבה 1, חברת Christian Dior Couture (להלן – המשיבה), הינה חברה זרה המאוגדת בצרפת העוסקת, בין היתר, בתחום האופנה והטיפוח. בישראל, רשומים על שם המשיבה סימני מסחר שונים (להלן – סימני המסחר). ביום 19.1.2010 שיגרה רשות המסים שבמשרד האוצר (להלן – המערערת או רשות המסים) אל המשיבה הודעה. ההודעה נמסרה בהתאם לסעיף 200א לפקודת המכס. בהודעה נאמר, כי בחינתם של טובין מסוימים שיובאו לישראל, והמדובר בנעליים, העלתה כי אלה מפרים לכאורה את סימני המסחר של המשיבה. בנוסף נמסר בהודעה, כי שחרור הטובין יעוכב לתקופה ראשונית של שלושה ימים, וכי במהלכה נדרשת המשיבה להודיע אם בכוונתה לנקוט הליך משפטי נגד הגורם שייבא את הטובין. עוד צוין, כי אם מתכוונת המשיבה לתבוע את היבואן כאמור, עליה להפקיד במשרדי רשות המסים ערבות בנקאית בסך 5,000 ש"ח. בעקבות קבלת ההודעה הפקידה המשיבה את הערבות שנדרשה ממנה. בהמשך, הגישה המשיבה לבית המשפט המחוזי מרכז תביעה נגד האדם שייבא את הטובין לישראל, הוא המשיב 2 (להלן – היבואן). יצוין, כי על פי המידע שהעבירה רשות המסים לידי המשיבה, מתגורר היבואן בשטחי הרשות הפלסטינית. בתביעה עתרה המשיבה לסעדים שונים נגד היבואן, בטענה כי ייבא לישראל נעליים מזויפות הנושאות סימני מסחר הרשומים על שמה. הסעדים שנתבקשו נגד היבואן היו אלה: צו מניעה, איסוף המוצרים המפרים ופיצויים. התביעה הוגשה אף נגד רשות המסים. המשיבה עתרה להורות לרשות המסים שלא לשחרר את הטובין המעוכבים וכן כי יושמדו על ידה. בעקבות הגשת התביעה והפקדת הערבות המשיכה רשות המסים לעכב את הטובין ואחסנה אותם, לצורך כך, במחסן בבעלות פרטית. היבואן לא הגיש כתב-הגנה. ביום 27.4.2010 נתן בית המשפט המחוזי מרכז (כב' השופט א' יעקב) פסק-דין בהיעדר הגנה נגד היבואן. בפסק-הדין נקבע, בין היתר, כי על היבואן להשמיד את הטובין בתוך 30 ימים וכי עליו לשאת בעלויות האחסנה וההשמדה של הטובין.

3.בפסק-הדין נדרש, כמו כן, בית המשפט המחוזי למחלוקת שנתגלעה בין רשות המסים לבין המשיבה באשר לגורלה של הערבות הבנקאית שהפקידה המשיבה אצל רשות המסים. מחלוקת זו התעוררה על רקע הנחתם המשותפת של בעלי הדין, שהתבססה על ניסיון העבר, לפיה תוביל אי-התייצבותו של היבואן הזר לתובענה לכך שהוא לא יבצע את שהוטל עליו בפסק-הדין, קרי לשאת בעלויות האחסנה וההשמדה. המחלוקת בין בעלי הדין התעוררה משום שהיה ברור כי בנסיבות המתוארות ייאלץ אחד מהם, רשות המסים או המשיבה, לשאת בהוצאות הכרוכות באחסון הטובין והשמדתם. כל אחד מהצדדים טען כי על הצד האחר לשאת בעלויות אלה. מחלוקת זו התחדדה בשל קיומה של הערבות הבנקאית שהפקידה המשיבה בידי רשות המסים. רשות המסים, אשר היא זו שהתקשרה עם המחסן הפרטי לצורך אחסון הטובין, טענה כי היא רשאית לחלט את הערבות הבנקאית ולכסות בדרך זו את עלויות האחסון וההשמדה של הטובין. המשיבה טענה, לעומת זאת, כי לא ניתן להשתמש בערבות לצורך כיסוי הוצאות האחסון וההשמדה. בפסק-דינו קיבל בית המשפט את עמדת המשיבה בקובעו כי מטרת הערבות הבנקאית אינה להבטיח את כיסוי ההוצאות הנובעות מעיכוב הטובין אלא רק את הנזקים שנגרמו ליבואן (אם נגרמו) כפועל יוצא מעיכוב הטובין והגשת התובענה נגדו. בית משפט קמא קבע, איפוא, כי על רשות המסים להשיב למשיבה את הערבות הבנקאית. כנגד קביעה זו מופנה ערעורה של רשות המסים.

4.קיימנו שני דיונים בערעור (ביום 19.1.2011 וביום 22.2.2011). במהלך הדיונים הבענו בפני בעלי הדין את השקפתנו לגבי הערעור. כפי שציינו בפני הצדדים, דעתנו היא כי קיים קושי בקביעה לפיה אין ביכולתה של רשות המסים לחלט את הערבות הבנקאית לשם גביית ההוצאות הכרוכות באחסון הטובין ובהשמדתם. יוזכר, כי הכוונה היא לחילוט הערבות במצב בו "נעלם" היבואן מהתמונה, בלא שפעל להשמדת הטובין, וממילא בלא שנשא בעלויות האחסון וההשמדה. בעקבות הערותינו ונוכח הצעות שונות שהועלו במסגרת הדיונים בערעור, הודיעה המשיבה ביום 7.3.2011 כי היא מסכימה לכך שהערעור יתקבל וכי פסק-דינו של בית המשפט המחוזי יבוטל, ככל שהוא נוגע למחלוקת בעניין גורלה של הערבות הבנקאית. חרף הסכמת המשיבה לקבלת הערעור, אשר יינתן לה ביטוי בדרך של אי-פסיקת הוצאות בהליך דנא, ראינו מקום לנמק את עמדתנו ולעמוד על הטעמים המצדיקים את קבלת ערעורה של רשות המסים. זאת, מאחר שנמסר לנו בדיון כי קיימים מקרים לא מעטים בהם נוטש יבואן זר סחורה מפרה שייבא לישראל ולא נושא בעלויות האחסון וההשמדה שלהם וכי השאלה בדבר מטרת הערבות ואפשרות מימושה חוזרת ועולה בבתי המשפט.

5.בשנת 1999 חוקקה הכנסת את החוק לתיקון דיני הקנין הרוחני (התאמה להוראות הסכם הטריפס), התש"ס-1999 (להלן – החוק לתיקון דיני הקניין הרוחני). חוק זה הביא לשינויים בחוקים שונים המסדירים זכויות של קניין רוחני. זאת, בעקבות חתימתה של ישראל על ההסכם הבינלאומי משנת 1994 הידוע בכינוי TRIPS (Agreement on Trade-Related Aspects of Intellectual Property Rights Including Trade in Counterfeit Goods, להלן – הסכם הטריפס; ניתן לעיין בהסכם בכתובת:
