פסק-דין

הנשיא א' גרוניס:

1.ערעור על פסק-דין של בית המשפט המחוזי מרכז-לוד (כבוד הנשיאה ה' גרסטל) מיום 27.6.2011.

פסק-הדין ניתן על פי צד אחד, לאחר שהמערערים 2-1 לא התייצבו לדיון. פסק-הדין קיבל תובענה שהגיש המשיב 1 (להלן – כהן) על דרך המרצת פתיחה. בתובענה טען כהן כי ארבע מניות רגילות של החברה חן פתח-תקווה בע"מ (להלן – החברה) הינן מניותיו שלו ולא של המערערים 2-1. כלומר, פסק-הדין קבע שהמשיב הינו בעל ארבע המניות.

2.לבית המשפט המחוזי הוגשו שתי תובענות על דרך המרצת פתיחה, שבמרכזן סכסוך בנוגע להחזקה במניותיה של החברה. במחלוקת שנחשפה בשתי התובענות היו שלושה שחקנים: המערער 2 (להלן – חלה) ואמו – המערערת 1. למעשה השחקן האמיתי לעניין זה הינו חלה ולא אמו; שחקן אחר הינו כהן. ואילו השחקן השלישי הינו המשיב 2 (להלן – דימנטשטיין). לכל אחד משלושת השחקנים היו טענות כי הוא הבעלים של מניותיה של החברה. כאמור, אחת התובענות הוגשה על ידי כהן ואילו האחרת הוגשה על ידי דימנטשטיין. הדיון בתובענות אוחד. בית המשפט המחוזי קבע כי הדיון בתובענות ייערך ביום 27.6.2011. ימים ספורים לפני מועד הדיון הודיע פרקליטו דאז של חלה על הפסקת הייצוג. כמו כן מסר הפרקליט כי אין מניעה לקיים את הדיון במועדו. חלה הגיש בקשה לדחיית הדיון יום אחד לפני המועד. הדיון נערך במועד, אך חלה לא התייצב אליו והתברר כי הוא נמצא בחו"ל. בית המשפט לא דחה את הדיון. באת כוחו של כהן ביקשה כי יינתן פסק-דין בתובענה של כהן. כאמור, על פי התובענות נפתחה חזית בנוגע להחזקה במניות בין כל השלושה: חלה, כהן ודימנטשטיין. בעלי הדין שהתייצבו לדיון האמור, היינו כהן ודימנטשטיין, הסכימו כי יינתן פסק-דין כמבוקש בתובענה של כהן. עוד הוסכם כי פסק-הדין בתובענה של כהן יהיה מותנה בתוצאות של התובענה שהגיש דימנטשטיין. כלומר, אם זה האחרון יזכה בתובענתו בכל הנוגע לבעלות במניות, ממילא יבוטל פסק-הדין לטובת כהן. ואומנם, בית המשפט נתן פסק-דין בהתאם, קרי, קיבל את תובענת כהן והמשיך לדון בתובענה של דימנטשטיין. בסופו של דבר, לפני שתובענתו של דימנטשטיין הגיעה לסיומה בדרך הרגילה, הושג הסדר בין כהן לדימנטשטיין, ולפיכך נותר על כנו פסק-הדין בתובענה שהגיש כהן.

3.חלה הגיש לבית המשפט המחוזי בקשה לביטול פסק-הדין שניתן בתובענה של כהן. בית המשפט קמא דחה את הבקשה ביום 21.2.2012. חלה יחד עם אמו הגישו לבית משפט זה בקשת רשות ערעור (רע"א 1957/12), וזו נדחתה ביום 22.5.2012 (על ידי השופט צ' זילברטל). ביום 5.6.2012 הגיש חלה יחד עם אמו את הערעור דנא (לאחר שקיבל ארכה מכבוד הרשמת של בית משפט זה). בערעור משיג חלה על פסק-הדין שניתן על פי צד אחד במחלוקת שבינו לבין כהן לגבי ארבע ממניותיה של החברה.

4.הטענה שמעלה חלה בערעורו היא כי בית המשפט המחוזי לא פעל בהתאם לתקנה 157(2) לתקנות סדר הדין האזרחי, התשמ"ד-1984 (להלן – תקנות סדר הדין האזרחי), העוסקת במצב דברים בו נתבע (או משיב) בתובענה לא התייצב לדיון בעוד שהתובע (או המבקש) אכן התייצב. לפי האמור בתקנה הנזכרת, אם הנתבע לא התייצב "רשאי התובע להוכיח את תביעתו עד כמה שחובת הראייה עליו, ואז יהא זכאי לסעד המבוקש ולכל סעד מתאים אחר". לפי הטענה, בית משפט קמא נתן תוקף להסכמת הצדדים בלא שהתייחס כלל לחובתו של כהן להוכיח את תביעתו.

5.כאמור, בית משפט זה דחה בקשת רשות ערעור שהגיש חלה על החלטתו של בית המשפט המחוזי שלא לבטל את פסק-הדין שניתן בהיעדרו של חלה. דחייתן של בקשת הביטול ושל בקשת רשות הערעור לא סגרה את הדלת בפני חלה לתקוף את פסק-הדין עצמו, שניתן נגדו בתובענה שהגיש כהן. במלים אחרות, חרף העובדה שבתי המשפט החליטו שאין מקום לבקשת הביטול, רשאי חלה לתקוף את פסק-הדין במסגרתו של ערעור, וכך הוא אומנם עשה. עם זאת, לגופם של דברים אין מקום לקבל את הערעור.

6.אכן, בפסק-דינו של בית המשפט המחוזי אין התייחסות לשאלה האם כהן הוכיח את תביעתו, כאמור בתקנה 157(2) לתקנות סדר הדין האזרחי. ברם, אין כל מניעה שערכאת הערעור תידחה את הערעור מנימוק שונה מזה שניתן על ידי הערכאה הדיונית (תקנה 454 לתקנות סדר הדין האזרחי). כפי שצוין, בפני בית משפט קמא הונחה המרצת פתיחה שהגיש כהן ואשר נתמכה בתצהיר שנעשה על ידו (וכן בתצהיר של אדם נוסף). חלה ואמו הגישו תשובה לתובענה, שנתמכה בתצהיר של חלה ושל אדם נוסף. בתשובה שהוגשה על ידי חלה הוא לא התכחש לכך שנעשה הסכם בינו לבין כהן ולפיו נמכרו לכהן ארבע מניות של החברה (מ דובר בהסכם בכתב מיום 1.1.2010). טענתו העיקרית של חלה הייתה כי מ דובר בהסכם למראית עין וכי בצידו של הסכם זה נעשה הסכם אחר, שהוא לדבריו "ההסכם האמיתי". מתיאור הדברים עד כה עולה כי בעת הדיון בבית משפט קמא עמד בפני בית המשפט תצהירו של כהן. לעומת זאת, תצהירו של חלה אכן היה בתיק, אך כאמור הוא לא התייצב לדיון. ברור שבית המשפט צריך היה להתייחס לעניין כאילו אין בפניו תצהיר של חלה. לפיכך, רשאי היה בית המשפט לקבוע כי כהן הוכיח את תובענתו וזאת על יסוד תצהירו. נעיר, כי מאחר שמ דובר בהמרצת פתיחה, הנתמכת בתצהיר, אין המקרה דומה לתובענה שהוגשה על דרך כתב תביעה, שאינו נתמך בתצהיר. יתרה מזו, בנסיבות שצוינו, ומאחר שחלה לא חלק על כך שאכן נעשה הסכם כתוב בינו לבין כהן, אלא שלטענתו בצד ההסכם החתום נעשה הסכם אחר, הרי הנטל להוכיח שההסכם הכתוב הינו למראית עין ובצידו "הסכם אמיתי" אחר, היה מוטל על חלה (ראו ע"א 7497/07 רינגל נ' לינדאור, פיסקה 11 (22.2.2010); ע"א 3725/08 חזן נ' חזן, פיסקה 25 (3.2.2011) והאסמכתאות שם). מכאן שבכל מקרה רשאי היה בית המשפט לפסוק לזכותו של כהן על יסוד נטל ההוכחה. גם אם הטעם שניתן על ידי בית משפט קמא בפסק-הדין לא היה הטעם הנכון, הרי רשאית ערכאת הערעור, כאמור, לדחות את הערעור מנימוק אחר וכך אנו עושים.

7.אשר על כן, הערעור נדחה. המערערים 2-1 יישאו בשכר טרחה בסך 10,000 ש"ח לזכות כהן ובאותו סכום לזכות דימנטשטיין.
