המשנה לנשיאה א' ריבלין:

1.בין המערערת (קרנית – קרן לפיצוי נפגעי תאונות דרכים) לבין המשיב (המוסד לביטוח לאומי), נפלה מחלוקת בעניין פרשנותו ויישומו של ההסכם בדבר מימוש זכות השיבוב הקנויה למשיב מכוח סעיף 328 לחוק הביטוח הלאומי [נוסח משולב], התשנ"ה-1995. מ דובר למעשה בשורה של הסכמים שנחתמו בין המשיב לבין חברות הביטוח, כאשר המערערת הצטרפה מאוחר יותר על-פי הסכמה שבעל-פה. הסכמים אלה, שנועדו להסדיר את יחסי הצדדים באופן יעיל ולחסוך התדיינויות, שירתו את הצדדים לאורך תקופה ארוכה אך נדמה כי בשנים האחרונות נתגלו בקעים הולכים ומתרחבים במסגרת ההסכמית וכתוצאה מכך רבו הליכים ופסקי-דין. בדיון שהתקיים לפנינו בתיק זה התברר כי כבר לפני זמן-מה גמר אומר המוסד לביטוח לאומי לבטל את ההסכמים משסבר כי אלה אינם מגשימים עוד את מטרתם. ענייננו היום נסב אפוא על מערכת הסכמית שאיננה עוד, אך יש בהכרעה – כך נטען – כדי להשליך על תיקים רבים התלויים ועומדים.

תחילה נסבה המחלוקת על שתי סוגיות: האחת נוגעת למועד שממנו יש להתחיל למנות את תקופת הזמן שבה נדרשת המערערת לשלם את תביעתו של המשיב; השנייה עוסקת בשיעור הריבית שהמערערת צריכה לשלם במקרה של פיגור בתשלום. בית המשפט הכריע בשתי המחלוקת לטובת המשיב, ובינתיים ניתן בבית משפט זה פסק-דין שייתר את הדיון בשאלה השנייה (רע"א 4829/06). נותרה אפוא השאלה הראשונה בעניין מרוץ הזמנים. לעניין זה מורה סעיף 6 להסכם כי:

החברה תשלם את תביעת המוסד לפי דרישתו תוך 60 יום מיום קבלתה. פיגרה החברה בתשלום פרק זמן העולה על 15 יום, יהיה עליה לשלם למוסד ריבית בגובה הריבית המכסימלית על סכום התביעה, לפי חוק פסיקת ריבית תשכ"א-1961, ועוד 20% מסכום הריבית הנ"ל.

לימים הסכימו הצדדים ביניהם כי חלף הוראת הסעיף בדבר תשלום בתוך 60 ימים מיום קבלת תביעת המשיב, "יש צורך לשלם את הדרישה תוך 45 יום מיום משלוח הדרישה".

2.בהתאם ללשון הסעיף קבע בית המשפט כי מניין הימים מתחיל ביום שבו משגר המשיב דרישת תשלום למערערת. המערערת סבורה כי חרף הלשון הברורה הזו יש למנות את הימים מן היום שבו נקבעת זכאותו של הנפגע כלפיה (בין מכוח הסכמתה בין מכוח קביעה שיפוטית). את עמדתה זו היא מבססת על הטענה כי לאורך שנות יישומו של ההסכם התגבש נוהג שלפיו כך יש לפעול בעניינה-שלה (להבדיל מעניינן של חברות הביטוח האחרות). בית המשפט לא ראה במקרים שהציגה המערערת – שבעה במספר – משום ראיה מספקת לקיומו של דפוס התנהגות חוזר ונשנה או כוונה של הצדדים לשנות את תנאי ההסכם.

יובהר: המערערת טוענת כי יש להתייחס אליה, בהקשר הנדון, באופן שונה מאשר לשאר חברות הביטוח. ואכן, במובנים שונים קרנית איננה ככל חברת ביטוח. לענייננו ניתן לטעון כי בעוד שחבותן של חברות הביטוח, מכוח פוליסת הביטוח, היא הכלל הרגיל, הרי שחבותה של קרנית היא בגדר היוצא מן הכלל הנובע מהוראות חוק הפיצויים. אולם מנגד יש להבהיר כי גם חברות הביטוח "הרגילות" כופרות לעיתים בחבותן ובכל זאת אין מחלוקת כי הוראת סעיף 6 להסכם חלה לגביהן ככתבה וכלשונה. מעבר לכך, יש להניח שהמשיב לא פונה למערערת אלא במקרים שבהם מסתמן כי הדבר בא בגדר חריגי החבות של קרנית. בית המשפט המחוזי סבר כי קבלת עמדתה של המערערת תביא לה הנאה כפולה: "מחד – היא תזכה בהנחה הקבועה בהסכם, שכוונת הצדדים הייתה להעניקה רק כנגד השבה מיידית של הסכומים; ומאידך – היא לא תשלם את הריבית המכסימלית כפי שנקבע בהסכם". תוצאה זו – כך הטעים בית המשפט קמא – "עומדת בניגוד לכוונת הצדדים ולהגיון הטמון בהסכם".

3.כך או כך, המערערת מחויבת על-פי אותו הסכם כמו חברות הביטוח האחרות, ולנוכח טענותיה קשה להבין מדוע סוגיה כה חשובה, שיש לה השפעה ניכרת על מועד החבות ועל היקף החבות, לא מצאה כל ביטוי בכתובים. אכן, תמהנו כיצד זה שהשינויים אשר לדעת המערערת חייבים היו להיכנס להסכם לאור מעמדה כקרן ציבורית סטטוטורית, ואשר היוו מבחינתה לטענתה תנאי-בלעדיו-אין לכניסתה להסכם, לא עוגנו במסמך כלשהו ואף לא בהסכמה מפורשת בין שני גופים בעלי אופי ציבורי-סטטוטורי. בנסיבות אלה, על-מנת לחלץ את עצמה מלשונו הברורה של סעיף 6, לכל הפחות היה על המערערת להראות באופן משכנע שאכן התגבשה בין הצדדים הסכמה אחרת בעניין שסעיף 6 עוסק בו. במהלך הדיון לפנינו ביקשנו לברר באופן ממצה את האופן שבו נהגו הצדדים לאורך השנים. מן הסתם זו שאלה שיש לה תשובה שהיא נכונה עובדתית. בכל זאת לא עלה הדבר בידינו. הצדדים הציגו טענות מנוגדות והתרשמותנו בתום הדיון הייתה שהנושא נותר מעורפל. בסופו של יום, על אף שהמשיב לא הציג מקרים פרטניים שבהם נהגו לפי שיטתו, לעומת המערערת שהציגה מספר מקרים כאלה, לא מצאנו בחומר שלפנינו משום הוכחה מספקת לכך שהצדדים הגיעו לכלל הסכמה כללית ומחייבת לשנות, לגבי קרנית, את הוראת הסכם. לפיכך, אין מנוס מלאשר את פסק-הדין של בית המשפט המחוזי בעניין זה.

לא למותר לחזור ולציין את דבריו של בית המשפט קמא, כי: "במקרים שבהם אכן תעלה מחלוקת בשאלת חבותה [של קרנית] כלפי הנפגע, תוכל קרנית לשלם תחת הסתייגות, ובמידה ויוכח כי אין לה חבות לגבי אותו מקרה – יוחזרו לה הכספים ע"י המל"ל כאשר הם משוערכים לאותו מועד". המערערת טוענת כי אפשרות זו איננה תמיד ישימה או מועילה, אך כאמור, המערערת הצטרפה להסכם מבלי שהקפידה לקבוע, לוודא או אף להגיע להסכמה מפורשת לגבי הסייגים שהיא טוענת להם, ובמצב שנוצר פתרון זה – שלפי דברי המשיב נהוג אצל יתר חברות הביטוח – הוא הרלבנטי גם למערערת.

התוצאה היא שהערעור נדחה. המערערת תישא בשכר טרחת עורך-הדין של המשיב בסכום של 10,000 ש"ח.
