המדינה לא הגישה סיכומיה בשל עיצומי הפרקליטות. השאלה שבמחלוקת היא תחולתו של סעיף 49ז לפקודת מס הכנסה בנסיבות, קרי, האם לעניין מס שבח העסקה שבין הצדדים, במכירת שני נכסים צמודים בנוה צדק בתל- אבי ב, הביאה בחשבון זכויות בניה נוספות אם לאו. ועדת הערר (שעדיין הערעורים עליה לצערנו הם לבית משפט זה) הגיעה למסקנה, כי חלק מן התמורה נזקף לזכויות הבניה הנוספות. המחלוקת הכספית עומדת כיום על סך כ-720,000 ₪.

טענת המערערים היא כי התמורה ששולמה היתה בעד הנכסים עצמם כמות שהם ולא בעד זכויות בניה נוספות. נטען הן כי קיום זכויות נוספות לא הוכח וכאלה לא היו לפי תכניות קיימות, והן כי תכנית תב"ע 3501 שהיתה בהמלצה להפקדה והוסיפה זכויות, לא היתה ידועה ברבים ולא ניתן לראותה כאילו יצרה ציפיות.

לטענת המדינה, בסיכומים בעל פה, המצב בפועל היה שבעת העסקה (2007) כבר הומלצה (2005), התכנית החדשה תב"ע 3501 להפקדה (אף כי הופקדה ואושרה רק ב-2010-2009); אך לא היה בידי באת כוח המדינה להשיב לנו מה היה המצב בשטח ובשוק בשעת העסקה לגבי פרשנות התכניות הקודמות (38 המנדטורית ו-1200 מ-1975), ולגבי הציפיות החדשות.

בעינינו השאלה היא אובייקטיבית – בעיקר כיצד העריך השוק במובן השמאי את מעמדה של תכנית 3501 לעניין אחוזי הבניה, שנקבעו בה כ-140%. שאלה זו לא נתלבנה במלואה, ועומדת גם שאלת הנטל על פי הדין, וכן לא התלבן כיצד נהגו ועדות התכנון בפועל לגבי התכנית המנדטורית 38. בנסיבות אלה אנו מחליטים להחזיר את התיק לועדת הערר לשם ליבון השאלות הללו. בידי הועדה לשמוע טענות ולגבות ראיות. הערעור מתקבל במובן זה, והכרעתנו באה חלף פסק הדין קמא. המדינה תשלם הוצאות המערערים בסך 20,000 ₪.
