השופט ע' פוגלמן:

בתביעה שהגישו לבית המשפט המחוזי בתל אביב-יפו, ביקשו המשיבים 2-1 לאכוף חוזה אשר לטענתם השתכלל ביניהם, מצד אחד, לבין המערערים ומשיבים 4-3 (להלן בהתאמה: יבלונקה ו סעדיה) מצד שני, במסמך שנחתם ביום 22.11.2006 (להלן: מסמך הסגירה). במסמך הסגירה נקבעו הסכום שהמשיב ישלם למערערים, ליבלונקה ולסעדיה בעד מניותיהם במשיבה 2 (להלן: חברת פתח תקוה), והסכום שהאחרונים ישלמו למשיב 1 (להלן: המשיב) בעד מניותיו במשיבה 5 (להלן: חברת ירושלים). המחלוקת בין הצדדים נסבה על השאלה האם מסמך הסגירה – בצירוף תנאים אחרים שסוכמו במהלך משא ומתן שהתנהל בין הצדדים לפני שנחתם – מהווה הסכם מחייב ואכיף. בית המשפט המחוזי (כב' השופט א' אורנשטיין) השיב לכך בחיוב. הערעור שלפנינו מכוון למסקנה זו, כמו גם להחלטת ביניים שעניינה עיון במסמכים.

הרקע הצריך לעניין

1.המשיב, המערערים, יבלונקה וסעדיה הם בעלי מניות בשתי חברות שכל אחת מהן מפעילה מכון לבדיקת כלי רכב – האחד בירושלים ומופעל על ידי חברת ירושלים, והשני בפתח תקוה ומופעל על ידי חברת פתח תקוה. בתקופה שקדמה לחתימת מסמך הסגירה, המשיב ניהל את המכון בפתח תקוה ולא היה מעורב בניהול המכון בירושלים; והמערערים ניהלו את המכון בירושלים ולא היו מעורבים בניהול המכון בפתח תקוה. לימים התגלעו מחלוקות בין הצדדים והם גמרו אומר להיפרד באופן שהמשיב ירכוש את מניות הצדדים האחרים בחברת פתח תקוה ויחזיק בכולן; והאחרים ירכשו את מניותיו בחברת ירושלים. לשם כך פתחו הצדדים במשא ומתן. את המשיב ייצג עו"ד רמי פילו, ואת המערערים ייצג עו"ד נתן מינקוביץ. ביום 1.10.2006 שלח עו"ד מינקוביץ טיוטה לעו"ד פילו (להלן: הטיוטה הראשונה) ובה כתב, בין היתר, כי הצדדים יפנו לרשות המסים לקבל אישור ביחס לשיעור המס בו תחויב מכירת המניות על פי ההסכם (להלן: פרה-רולינג) (פרק המבוא); כי התמורה בגין מכירת המניות בחברת פתח תקוה תהיה 500,000 דולר (סעיף 8.1); כי המשיב ישא בתשלום המס שיחול בגין מכירת המניות (סעיף 9.1); והושאר מקום ריק להשלמת סכום המס שישולם כפי שיוערך בהליך הפרה-רולינג (סעיף 9.2). עו"ד פילו סימן על הטיוטה הראשונה הערות בשיטת "עקוב אחר שינויים" של תוכנת Word, ושיגר אותה חזרה לעו"ד מינקוביץ ביום 10.10.2006 (להלן: הטיוטה השנייה). בין היתר, כתב עו"ד פילו על גבי הטיוטה כי "יש לשקול"עסקת ברוטו" ולא "עסקת נטו"". ביום 22.10.2006 ערך עו"ד מינקוביץ שינויים על הטיוטה השנייה ושלח לעו"ד פילו טיוטה נוספת בדואר אלקטרוני (להלן: הטיוטה השלישית). במכתב ששלח לעו"ד פילו ביום 21.11.2006, הציע עו"ד מינקוביץ להגדיל את התמורה שיקבלו המערערים בגין מכירת מניותיהם לסך של 800,000 דולר (במקום 500,000 דולר כאמור בטיוטה השלישית), לנוכח השינוי במבנה העסקה מנטו לברוטו. המשיב, מצידו, הציע לשלם עבורן 700,000 דולר.

2.ביום 22.11.2006 נפגשו הצדדים כולם, ללא פרקליטיהם, במשרדו של רו"ח יהודה פרקש, אשר שימש כרואה-החשבון של החברות. לאחר דין ודברים נחתם מסמך הסגירה ובגדרו הוסכם כדלקמן: המערערים ימכרו למשיב את מניותיהם בחברת פתח תקוה תמורת 775,000 דולר; המשיב ימכור למערערים את מניותיו בחברת ירושלים תמורת 100,000 דולר; וכל צד ישא בתשלום המס בגין מכירת מניותיו. מפאת חשיבותו לענייננו נביא את מסמך הסגירה כלשונו:
