עניינה של העתירה שלפנינו הוא בבקשת העותר, כי נורה למשיבים ליתן טעם מדוע שלא יעשו שימוש בסמכותם על פי סעיף 374 לפקודת החברות, התשמ"ג-1983 (להלן: פקודת החברות) כדי להורות למר אורי כהן (להלן: מר כהן) להשיב כספים לקופתה של עמותת אלמ"ג הנמצאת בפירוק (להלן: העמותה).

כפי שמתואר בעתירה, העותר הינו אחד ממייסדי העמותה בשנת 1989 וכיהן כיושב ראש העמותה מיום הקמתה ועד לשנת 1998. מר כהן כיהן כיושב ראש העמותה בשנת 1998, בנוסף לכהונתו במספר תפקידים אחרים בה. בשנת 1995 החליטה העמותה על הקמתה של חברת אלמ"גית בע"מ, שהוחזקה בחלקים שווים על ידי העמותה ועל ידי העותר (להלן: חברת אלמ"גית). בשנת 1996 הוחלט בעמותה על הקפאת פעילותה החל מינואר 1997 ועל מכירת נכסיה, ועל הקמתה של חברת אלמ"ג בע"מ במקומה (להלן: חברת אלמ"ג). ביום 20.12.2004 מונה המשיב 1 כמנהל מיוחד לעמותה, וביום 8.9.2005 מונה למפרקה (להלן: המפרק).

ביום 23.4.2006 הגיש המפרק בקשה למתן הוראות לבית המשפט המחוזי בתל-אביב-יפו, בדרישה לחייב את העותר להשיב לקופת העמותה סכום של 588,000 ש"ח, בגין כספים שהועברו מהעמותה לחברת אלמ"גית. ביום 30.11.2006 קיבל בית המשפט (כבוד השופטת ו' אלשייך) את הבקשה והורה לעותר להעביר לעמותה סכום של 588,000 ש"ח, בצירוף פיצוי גלובלי בסך 150,000 ש"ח בגין ניצול המוניטין של העמותה ובצירוף הוצאות משפט.

כעת מבקש העותר כי המשיבים ייתנו טעם מדוע לא יפנו לבית המשפט המחוזי, גם לגבי מר כהן, בדרישה כי ישיב גם הוא סכום דומה לקופת העמותה.

בתגובתו לעתירה הבהיר המשיב 2, רשם העמותות, כי לא עומדת לו סמכות לפנות לבית המשפט, שכן אין הוא "משתתף" בעמותה, כהגדרתה בפקודת החברות. ואילו לטענת המפרק, דין העתירה להידחות על הסף, בהיותה עתירה הנוגעת להליך פירוק המתנהל בבית המשפט המחוזי.

כפי שקובע סעיף 374 לפקודת החברות, בו מבקש העותר כי יעשו המשיבים שימוש:

עבירות שנתגלו בפירוק

374.התברר תוך פירוקה של חברה שאדם שהשתתף בייזומה או בייסודה או שהיה או הינו נושא משרה בה או כונס נכסים, מפרק או מפרק זמני שלה, השתמש שלא כהוגן בכסף או בנכס של החברה, או עיכבם אצלו, או נעשה חב או אחראי עליהם, או עשה מעשה שלא כשורה או שלא כדין במשא ומתן הנוגע לחברה, רשאי בית המשפט, לפי בקשת הכונס הרשמי, המפרק, נושה או משתתף, לחקור בדבר התנהגותו של האדם ולכפות עליו החזרת הכסף או הנכס או חלק מהם בצירוף ריבית בשיעור שייראה לבית המשפט, או לכפות עליו תשלום כסף לזכות החברה ככל שייראה לבית המשפט כפיצוי על מעשיו, ואין נפקא מינה אם העבריין עלול להיתבע עליהם בפלילים.

כפי שעולה מהסעיף, הרשאים לפנות לבית המשפט לעשות שימוש בסמכותו לפי הסעיף הינם כונס הנכסים הרשמי, המפרק, נושה או משתתף בעמותה. בעתירתו לא הניח העותר את התשתית העובדתית המספיקה כדי להבין האם הוא נכנס לגדרי "משתתף", כהגדרתו בפקודה. בין כך ובין אחרת, שמורה לו הזכות לפנות במישרין לבית המשפט המחוזי, בין אם בבקשה על פי סעיף 374 ובין אם בבקשה למתן הוראות למפרק. משכך, עומד לעותר סעד חליפי, ולא ניתן להידרש לעתירתו.

אשר על כן, העתירה נדחית על הסף.
