פסק-דין

השופט ס' ג'ובראן:

עניינה של העתירה שבפנינו הוא בבקשת העותר, כי המשיבים ייתנו טעם מדוע לא יבוטל פסק דינו של המשיב 1, בית הדין הארצי לעבודה (להלן: בית הדין הארצי), בתיק ע"ע 182/07 מיום 21.8.2007, אשר קיבל את ערעורה של המשיבה 2 (להלן: חברת מיקרוסופט או המשיבה) על פסק דינו של בית הדין האזורי לעבודה בתל-אביב-יפו (להלן: בית הדין האזורי) , בתיק ע"ב 9000/01 מיום 19.2.2007.

המשיב הועסק בחברת "הזנק" (סטארטאפ) ישראלית בשם Peach networks Ltd. (להלן: חברת פיץ') החל מיום 22.11.1999.

ביום 2.3.2001 נרכשה חברת פיץ' על ידי חברת מיקרוסופט העולמית ושולבה כחטיבה בחברת מיקרוסופט ישראל. בהסכם המיזוג נקבע כי האופציות שהוענקו לעובדי חברת פיץ' על סמך הסכם עבודתם שם, יומרו לאופציות לרכישת מניות בחברת מיקרוסופט (להלן: הסכם המרת האופציות).

העותר מתאר בעתירתו, כי הגיש לבית הדין האזורי לעבודה תביעה כנגד חברת מיקרוסופט ישראל לאחר שפוטר מעבודתו אצלה. במסגרת תביעתו ביקש העותר כי יתאפשר לו להמיר ולממש את האופציות שבידיו לרכישת 4,036 מניות של חברת מיקרוסופט הן מכוח תכנית האופציה של חברת פיץ' והן מכוח עיקרון ה"ייחוס לאחור".

שתי שאלות עקרוניות עמדו בפני בית הדין בעת הכרעתו. האחת, שאלת עצם קיומה של תוכנית אופציות בפיץ', והשנייה, נסיבות פיטוריו של העותר.

בית הדין האזורי קיבל את תביעת העותר תוך קביעה כי תוכנית האופציה לרכישת מניות חברת פיץ' היא תקפה ומחייבת, וכי הסכם אופציות מיקרוסופט הוא המקור הנורמטיבי להשלמת התנאים החסרים בתוכנית האופציות של פיץ'. עוד נקבע כי העותר פוטר שלא כדין, בכדי למנוע ממנו את מימוש האופציות שמגיעות לו וכי הממונה עליו נמנע מלהודיע לו על זכאותו למימוש האופציות, ידיעה אשר הייתה גורמת לעותר לנהוג אחרת בכול הנוגע לפיטוריו. עקב כך, קבע בית הדין כי העותר זכאי למימוש מחצית מהאופציות המומרות על פי התנאים הקבועים בהסכם להמרת האופציות.

על פסק דינו של בית הדין האזורי לעבודה הגישה המשיבה ערעור לבית הדין הארצי לעבודה (ע"ע 182/07).

בית הדין הארצי קיבל את ערעור המשיבה בקובעו כי לא הייתה בחברת פיץ' תוכנית מחייבת להענקת אופציה לעובדים וגם אם הייתה קיימת תוכנית כזו, אין בכך בכדי להועיל לעותר משום שהתוכנית שחלה עליו היא תוכנית האופציות של חברת מיקרוסופט ותו לא. עוד קבע בית הדין כי מאחר ועבודתו של העותר הסתיימה מספר חודשים לפני מועד מימוש מכסת האופציות הראשונה, על פי ההסכמים הספציפיים שמסדירים זכאות זו בתוכנית האופציות של חברת מיקרוסופט, אין הוא זכאי למימוש אופציות למניות המשיבה כלל. לבסוף, קבע בית הדין כי העותר פוטר כדין ומשיקולים ענייניים.

מכאן העתירה שבפניי, אשר במסגרתה טוען העותר טענות רבות כנגד קביעותיו של בית הדין הארצי. תחילה הוא טוען כי בית הדין הארצי התעלם כליל מקביעת בית הדין האזורי כי העד היחיד של המשיבה הוא בלתי מהימן ומקביעתו לעניין התנהלות המשיבה בכל הנוגע לסיכול הליכי משפט ומניעת עשיית צדק. בנוסף, טוען העותר כי בית הדין האזורי קבע קביעות עובדתיות חסרות בסיס וכי ישנן סתירות פנימיות מהותיות בפסק הדין. עוד טוען העותר כי פסיקתו של בית הדין הארצי סותרת סדרי דין והלכות משפטיות הנוגעות להתערבותה של ערכאת הערעור בממצאים העובדתיים שנקבעו בערכאה הדיונית. לבסוף טוען העותר כי עניינו יביא להשלכות רוחב בכל הנוגע לשאלת היחסים בין חוזי העסקה, תוכניות אופציה וחוזי הקצאה.

מנגד, טוענת המשיבה כי יש לדחות את העתירה היות ולמעשה העותר מבקש לערער על קביעותיו העובדתיות והחלטתו של בית הדין הארצי לעבודה, ולא מציג כל סוגיה משפטית או עקרונית המהווה עילה להתערבותו של בית משפט זה. לגופו של עניין, טוענת המשיבה כי אין כלום בטענת השלכות הרוחב שמעלה העותר וכי בית הדין הארצי לא סטה מההלכה הפסוקה בעת התערבותו בקביעות העובדתיות במקרה דנן לאור העובדה כי התגלו פגמים גלויים ומהותיים בממצאיו של בית הדין האזורי.

דין העתירה להידחות.

כידוע, בית משפט זה, בשבתו כבית משפט גבוה לצדק, יתערב בפסק דינו של בית הדין הארצי לעבודה אך במקרים נדירים בהם נתגלתה טעות משפטית מהותית וכאשר הצדק מחייב התערבות זו (ראו בג"ץ 525/84 נביל חטיב נ' בית הדין הארצי לעבודה, פ"ד מ(1), 673 , 695-694 (1986)).

בענייננו, אין מ דובר בשאלה משפטית בעלת השלכה כללית או במקרה חריג. מ דובר במחלוקת בעניין עובדתי, אשר אינה מצדיקה את התערבותו של בית משפט זה. קביעתו של בית הדין הארצי כי העותר פוטר כדין וכי נוכח המערכת ההסכמית שחלה עליו אין הוא זכאי למימוש אופציות בחברת מיקרוסופט, אף על פי שזו הפכה את קביעותיו של בית הדין האזורי, הינה החלטה מנומקת הנמצאת היטב בתחום סמכותו ומומחיותו של בית הדין הארצי ומשכך, איני רואה כל מקום להתערב בה.

אשר על כן, העתירה נדחית על הסף.
