1.בהמשך להצעת השופט עמית בישיבת קדם המשפט מיום 22.11.2012 הודיעו הצדדים כי הם מסכימים שהתיק יוחזר ל בית משפט קמא על מנת שישלים את פסק דינו בשאלה אם דין ההסכם למכירת החנות להתבטל עקב אי תשלום התמורה על פי ההסכם, וזאת לאור האמור בסעיף 34(ג) לכתב התביעה המתוקן ולפיו "לחילופי חילופין בטל החוזה בשל אי תשלום התמורה". היה ויקבע כי לא שולמה מלוא התמורה אזי לכאורה המדובר בהפרה יסודית המזכה בביטול החוזה. היה ויקבע עובדתית כי שולמה מלוא התמורה על פי החוזה, יעמוד החוזה בעינו.

2.לא יובאו ראיות נוספות על ידי הצדדים לעניין תשלום התמורה, מעבר לראיות שהובאו כבר על ידם.

מובן כי במסגרת פסק דינו המשלים, רשאי בית המשפט ליתן משקל להלכה לגבי נטל הראיה וכמות הראיה הנדרשים להוכחת עובדה שלילית.

3.בכפוף להסכמת הצדדים כאמור לעיל הערעור מתקבל וכמובן שתעמוד לכל צד הזכות לערער על תוצאת פסק הדין המשלים בכל הנקודות, לרבות טענת המערערים לכפייה ואונס ולרבות הטענה שניתנה הודעת ביטול במועד (כבר למחרת חתימת ההסכם).

4.בהתחשב בכך שהמשיבה 1 לא הגישה כלל סיכומים, ובהתחשב בכך שהמשיבה 1 הודיעה רק במהלך הדיון בפנינו על הסכמתה לקבלת הצעת בית המשפט מיום 22.11.2011 (לאחר שדחתה הצעה זו בעבר), אנו מחייבים המשיבה 1 בהוצאות ובשכר טרחת המערערים בסך 40,000 ₪ ללא קשר לתוצאות הדיון בתיק העיקרי.
