בהמלצתנו משך המערער את ערעורו והוא נמחק ללא צו להוצאות.

יצויין, כי הטעם העיקרי להמלצתנו דנן נעוץ בכך שבינתיים ניתן צו פירוק לחברת SHG Golden & Silver Ltd (להלן: החברה) ומונה לה מפרק זמני ומנהל מיוחד, ובנסיבות כאלה כבר פסק בית משפט זה כי אין מקום להגשתה של תביעה נגזרת ([השוו: ע"א 7602/09 בנק הפועלים בע"מ נ' CIBEL (10.2.2011); ע"א 9014/03 גרינפלד נ' לסר (14.12.2006)], וממילא אף לניהולה.

למותר לציין כי מפרק החברה מוסמך לנקוט בכל צעד שיראה לו לנכון, לרבות ייזום הליכי חקירה פרטית ופומבית על פי הוראות הסעיפים 288 ו-298 לפקודת החברות [נוסח חדש], התשמ"ג-1983 (להלן: הפקודה) ונקיטה בהליכים נגד גורמים שונים מכוח הסעיפים 373 ו-374 לפקודה. נדגיש, כי היה ויינקטו צעדים כנ"ל, שומר כל אחד מן הצדדים להליך זה את מלוא טענותיו.
