יצויין, כי הטעם העיקרי להמלצתנו דנן נעוץ בכך שבינתיים ניתן צו פירוק לחברת SHG Golden & Silver Ltd (להלן: החברה) ומונה לה מפרק זמני ומנהל מיוחד, ובנסיבות כאלה כבר פסק בית משפט זה כי אין מקום להגשתה של תביעה נגזרת ([השוו: ע"א 7602/09 בנק הפועלים בע"מ נ' CIBEL (10.2.2011); ע"א 9014/03 גרינפלד נ' לסר (14.12.2006)], וממילא אף לניהולה.
