המשנה לנשיאה א' רובינשטיין:

א. הפרשה שבתיק זה עניינה הפסקת עבודתו של קבלן – המערערת, חברה תורכית שהועסקה בבניית חידושו של נמל התעופה בן-גוריון. עסקינן בהסכמים בסכומים של מאות מיליונים שנחתמו ב-1998 בהם נשכרה המערערת, לאחר מכרז לעבודות במבנה היבשתי של נמל התעופה, וכן – במכרז נוסף – לעבודות במבנה האוירי. לימים הסתמן פיגור בביצוע העבודות על-ידי המערערת והיא נקלעה למצוקה כספית, ובנוסף לכך הוצא בתורכיה צו הקפאה כלפיה בשלהי אוקטובר 2000. המשיבה החליטה ביום 8.11.00, נוכח מה שראתה כהפרת הסכמים, לבטל את ההסכמים. בין הצדדים נתגלעו בהמשך חילוקי דעות באשר להתנהלות, וסופם תביעה מאת המשיבה ותביעה שכנגד מאת המערערת; המשיבה טענה לנזקים כבדים עקב הפרות המערערת, אך העמידה את תביעתה על סך 25 מיליון ₪. התביעה שכנגד נסבה על ביטול חד צדדי של ההסכמים ועל נזקים לרבות מתקנים וציוד שימסרו באתר הפרויקט.

ב. בית המשפט קמא, לאחר שמיעת ראיות, הגיע לכלל מסקנה שהודעת הביטול היתה כדין וכי, בין השאר, צו ההקפאה מנע מן המערערת המשך העבודה; זאת גם נוכח השתק שיפוטי, כיון שבבית משפט בתורכיה טענה המערערת שהיא מנועה מהמשך ביצוע העבודות עקב צו ההקפאה. כן קבע בית המשפט, במיוחד בהסתמך על עדות יועצה המשפטי של המשיבה, כי לא היו שיקולים זרים בהחלטה לסיים את ההסכמים, ואדרבה, המשיבה היתה מעוניינת בהמשך העבודות, אך נאלצה להכריע לניתוק הקשר לאחר שהוברר לה שהמערער לא תוכל לעמוד בהסכמים, ולא נתקבלה טענה כי היה מקום להמשיך בעבודות, דבר שלא נטען בזמן אמת; עוד נסקר פיגור המערערת בביצוע העבודות, גם תוך הישענות על ירידה במספר עובדיה בשטח מ-159 במאי 2000 ל- 71 באוקטובר אותה שנה. לאחר מכן נבחנה פרטנית שאלת הנזקים הנטענים, תוך שנדחתה התביעה שכנגד, משנקבע כי ביטול ההסכמים להם זכאית המשיבה נעשה כדין –ונמצא כי הסכומים עלו על סכום התביעה.

ג. בערעור נטען כי ביטול החוזה היה שלא כדין, ללא מתן ארכה והודעה מוקדמת בניגוד לעקרונות דיני החוזים, וכן נטען בדבר היעדר דיון מצד בית המשפט בפסק דינו בתביעה שכנגד; ובין השאר נאמר, כי חרף ההקפאה המשיכה המערערת לעבוד במקומות שונים בעולם ולא נשלל כוחה לעבוד גם כאן. נאמר איפוא כי הביטול היה בחוסר תום לב ובזדוניות, חרף היות המשיבה רשות ציבורית החייבת בנורמות המשפט הציבורי. באשר לתביעה שכנגד נטען כי – בין היתר – הוחרמו ציוד ומתקנים של המערערת. בערעור הוטעם כי לשיטת המערערת עסקינן בנקודות משפטיות, אך נאמר כי גם בממצאי עובדה ניתן להתערב, והודגש כי עוד לפני צו ההקפאה תיכננה המשיבה את סילוק המערערת, על פי מסמך (מוצג 13) מיום 3.10.00 של חברת ייעוץ מטעמה.

ד. מנגד נטען מטעם המשיבה כי המדובר בערעור עובדתי, וכי יסוד הפרשה הם פיגורי המערערת, אשר למרות היוצרותם וחרף דעיכת העבודה ניתנה למערערת מקדמה גדולה ללא ערבות. כן נאמר, כי צו ההקפאה היה אירוע גורף ומשמעותי שחייב את הביטול, והתנהגות המערערת לאחר הביטול הוכיחה שהבינה זאת, ונטען כי הביטול נעשה בתום לב. באשר לתביעה שכנגד נטען, בין השאר להרחבת חזית בערעור, וכי כל הנחוץ הובא בחשבון בבית המשפט קמא.

ה. בדיון בפנינו הטעים בא כוח המערערת כי החוזה בוטל שמונה ימים בלבד לאחר צו ההקפאה, שמשמעותו פורשה שלא כהלכה על-ידי בית המשפט קמא, וטען כי המדובר בצעדים שנעשו בכוונת מכוון על-ידי המשיבה, ובמיוחד נוכח המסמך מוצג 13, מסמך חלופות שהכינה חברת הייעוץ כחודש לפני צו ההקפאה. שוב הוטעם, כי בית המשפט לא נדרש לתביעה שכנגד. מנגד נטען מטעם המשיבה, כי היועץ המשפטי שלה, שבית המשפט קיבל את עדותו כמהימנה, העיד שההסכם בוטל בלית ברירה כדי למנוע נזקים גדולים יותר. אשר לטענת המערערת בעניין אי ההתיחסות לתביעה שכנגד נטען, כי בית המשפט קבע ששולמו למערערת תשלומים ביתר.

ו. לא ראינו להיעתר לערעור, והודענו זאת לבעלי הדין. פסק הדין קמא מקובל עלינו, וניתן שלא להיעתר לערעור על פי תקנה 460 (ב) לתקנות סדר הדין האזרחי, תשמ"ד-1984, וכך אנו עושים. נוסיף בקצרה, ראשית, כי לא כפי שנטען בערעור ביסודו אכן עניינו בהשגות עובדתיות. בית המשפט קמא ניהל משפט הוכחות, התרשם מעדים ומראיות, והכריע כמפורט בנושאים השונים. נתייחס בקצרה לשתי הטענות העיקריות של המערערת. תחילה אשר לטענה כי מצבה בתורכיה חרף צו ההקפאה, שלגבי קיומו כשלעצמו אין מחלוקת, איפשר לה להמשיך בעבודתה, וכי מסקנת בית המשפט קמא באשר להגבלות שגרם הצו –שגויה. עסקינן בפסק הדין בתיאור עובדתי מפורט של ההשתלשלות, וברי כי המדובר היה בהידרדרות במצבה הפיננסי של המערערת, דבר שיש לראותו כאירוע דרמטי בחיי ההסכמים; עצם העובדה שהמערערת לא מיהרה למחות על הביטול והדבר בא לאחר 10 ימים, גם היא ראיה להבנה שאכן עסקינן באירוע דרמטי. נזכור, כי לכך קדמו סימני אזהרה כמו המחסור במזומנים, הקטנת המשכורות והפחתת העובדים אצל המערערת. למסמך מוצג 13 נדרש בית המשפט בהסתמכו על עדותו של היועץ המשפטי לרשות שדות התעופה (פסקה 11 לפסק הדין) והדברים נראים לנו, עיון בפסק הדין מגלה איפוא כי בסופו של יום אחיזת השור בקרניו מצביעה על כך, שאכן הידרדרו ביצועי המערערת לאורך תקופה, תוך סימנים מעידים לבעיה משמעותית, וצו ההקפאה היה בחינת הקש ששבר את גב הגמל. אשר לתביעה שכנגד, טענת המערערת שבתה לב מעיקרא, אך במבט נוסף יש למקד את התשובה לה במיוחד בתשלומים ביתר ששולמו על-ידי המשיבים, שפירט בית המשפט בפסקה 19.

ז. לא ראינו מקום להתערבות במסקנות בית המשפט קמא, המעוגנות בראיות, ועל כן איננו נעתרים לערעור כאמור. המערערת תשלם הוצאות המשיבה בסך 25,000 ₪.
