פסק-דין

הנשיא א' גרוניס:

1.בערעור זה עלתה שאלה בדבר מעמדה של המערערת כנושה בהליכי חדלות פרעון של חברות מקבוצת פרי הגליל. אין מחלוקת כי המערערת הינה נושה מובטחת בדרגה ראשונה לגבי סכום של 9 מיליון ש"ח. השאלה היא האם המערערת הינה נושה מובטחת בדרגה שנייה, אחרי בנקים שהם נושים מובטחים (המשיבים 2 ו-3) או שמא היא נושה רגילה, וזאת לגבי סכום נוסף של כ-7 מיליון ש"ח. ההכרעה בתיק זה התעכבה משום שתחילה היה צורך להכריע בערעורים אחרים (ע"א 3782/09, ע"א 4036/09, ע"א 4520/09). פסק-דין באותם ערעורים ניתן ביום 25.2.2014 (להלן – פסק-הדין). המשיבים 3-1 טוענים כי השאלה שהוצגה, לגבי מעמדה של המערערת הפכה תיאורטית בעקבות פסק-הדין. זאת, משום שלבנקים מגיעים סכומי כסף נוספים נוכח תוצאתו של פסק-הדין, והרי הבנקים קודמים בכל מקרה למערערת מבחינת סדר הנשייה. הסכומים הנוספים המגיעים לבנקים, כך לפי המשיבים 3-1, מביאים לכך שבקופה לא ייוותר סכום כלשהו למערערת, אפילו תתקבל טענתה כי היא נושה מובטחת מדרגה שנייה.

2.אכן, אין כל טעם שבית משפט זה ייזקק לערעור שייתכן והוא תיאורטי. תחילה צריכה ליפול הכרעה בערכאה הדיונית בשאלה האם הבנקים זכאים לקבל סכומי כסף נוספים באופן שלא יותיר כספים בקופה. כנראה שהמחלוקת לעניין זה מתמקדת בסוגיה האם הבנקים זכאים לריבית בגין החוב שהגיע להם. יצוין, כי המערערת טוענת, כמו כן, כי לפי דברי המשיבים 3-1 עצמם אמור היה להישאר בקופה סכום של 10 מיליון ש"ח.

3.לפיכך הננו מחליטים כדלקמן:

א. המחלוקת בשאלה האם בקופה נותרים כספים לתשלום לנושים שדרגת נשייתם היא לאחר הבנקים תובא בפני בית המשפט המחוזי, לפי בקשה שתוגש על ידי המערערת עד ליום 31.7.2014. כמובן שלכל הצדדים שמורות כל טענותיהם.

ב. הערעור דנא נמחק.

ג. אם בית המשפט המחוזי יכריע לטובת המערערת תוכל היא להגיש מחדש את ערעורה זה תוך 45 ימים (ותהא פטורה מתשלום אגרת הערעור). היה ובית המשפט המחוזי יפסוק לחובת המערערת והיה והיא תערער על פסיקתו, הרי בגדרו של אותו ערעור תוכל היא לחדש אף את ערעורה דנא, היינו לכלול אותו בערעור שתגיש.

ד. אין צו להוצאות.
