פסק-דין

1.בהליך דנא מלינים המבקשים על החלטתו של בית המשפט המחוזי בתל-אביב-יפו (כבוד השופט ע' בנימיני) אשר אישרה למשיב לנהל נגד המבקשים תובענה ייצוגית בעילות שונות לפי חוק ניירות ערך, התשכ"ח-1968. ביום 19.6.2013 התקיים דיון לפני הנשיא במהלכו הודיעו בעלי הדין כי הם מנהלים מגעים לסיום ההליך בהסדר מוסכם. ביום 10.11.2013 הגישו בעלי הדין הודעה מוסכמת ובקשה למתן תוקף של פסק-דין להסדר הפשרה שגובש ביניהם. ביום 19.3.2014 התקיים לפנינו דיון במהלכו נערכו בירורים בקשר עם ההסדר. בתום הדיון החלטנו כי על בעלי הדין להגיש הודעה, בהתחשב בשאלות והערות מסוימות שהצגנו. הודעה כאמור הוגשה ביום 31.3.2014. להודעה צורף הסדר פשרה מתוקן.

2.לאחר שבחנו את הסדר הפשרה המתוקן שהוגש ביום 31.3.2014 הגענו לכלל מסקנה כי אין סיבה שלא לאשרו. זאת, בהתאם להלכה שנפסקה ברע"א 8479/02 סבו נ' רשות שדות התעופה בישראל (15.12.2008) (להלן – הלכת סבו). בנסיבות העניין באנו למסקנה כי לא מתעוררים קשיים בולטים באישור הסדר הפשרה בלא צורך לפעול על פי ההסדרים לאישור הסכם פשרה בתובענה ייצוגיות, הקבועים בסעיפים 18 ו-19 לחוק תובענות ייצוגיות, התשס"ו-2006 (להלן – חוק תובענות ייצוגיות). בעניין זה חובה לפרט מספר נתונים. טענתו המרכזית של המשיב בבקשת האישור הייתה, כי המבקשת 1 פרסמה פרטים מטעים במהלך ההנפקה (ולאחריה) של אגרות חוב המכונות "סדרה ט'". המשיב עתר לסעד כספי עבור כלל חברי הקבוצה, המשקף את ההפרש בין מחיר הרכישה לבין מחיר המכירה של אגרות החוב. זאת, עבור מי שרכש את אגרות החוב מן הסדרה הנזכרת, בחודשים יוני עד אוגוסט 2009 ומכרן לאחר מכן. הסעד המוערך הכולל שננקב בבקשת האישור עמד על כ-30 מיליון ש"ח. בהודעת בעלי הדין מיום 9.2.2014 נמסר לנו, כי המבקשים פנו לכל חברי הבורסה על מנת לקבל מהם את הנתונים הנוגעים למסחר ב"אג"ח ט'" בתקופה האמורה. מן הנתונים עולה, כי הקבוצה מונה כ-190 משקיעים שרכשו את אגרות החוב בתקופה הנזכרת, וכי הנזק הכולל המצטבר עומד על כ-3.6 מיליון ש"ח (היינו ההפרש בין מחיר הרכישה למחיר המכירה עבור כל חברי הקבוצה יחדיו). יוער, כי ההוראה המרכזית בהסדר הפשרה המתוקן קובעת, כי כל חבר קבוצה שיפנה אל המבקשת 1 יהיה זכאי לפיצוי כספי בסך השווה ל-75% מן ההפרש שבין סכום העלות בו רכש את אגרות החוב לבין הסכום בו מכר (בהפסד) את אגרות החוב. זאת, בתקופות הנקובות בהסכם (ראו סעיף 11 להסדר הפשרה המתוקן). הסכום המוערך והכולל של הפיצוי, בהנחה שכל 190 חברי הקבוצה יפנו למבקשת 1, עומד איפוא על כ-2.7 מיליון ש"ח.

3.נוכח הנתונים הנזכרים, ובעיקר אלה הנוגעים להיקף המצומצם, יחסית, של חברי הקבוצה, נראה לנו כי ניתן לאשר את הסדר הפשרה. בנסיבות העניין לא מתעוררים באישור הסדר הפשרה עיקר הקשיים הטמונים, לטענת מלומדים שונים, בהלכת סבו (ר או, אלון קלמנט "פשרה והסתלקות בתובענות ייצוגיות" משפטים מא 5, 81-72 (2011)). נציין, כי רואים אנו להפעיל במקרה דנא שני אמצעים אשר בכוחם למזער חלק מן הבעיות המתעוררות באישור הסדרי פשרה בתובענות ייצוגיות. האחד הינו הוראה המחייבת את הנתבע הייצוגי להגיש דו"ח מאומת בתצהיר הכולל נתונים בנוגע למימוש הסדר הפשרה. זאת, בחלוף תקופה מסוימת מעת אישורו של ההסדר. השני, המשלים את זה הראשון, הינו הוראה הקובעת כי רק חלק משכר הטרחה שייפסק לבא-הכוח המייצג ישולם לו עם אישור הסדר הפשרה. לגבי היתרה תינתן החלטה משלימה לאחר הגשת הנתונים בנוגע למימוש ההסדר.

4.אשר על כן, אנו קובעים כדלקמן -

א) ניתן בזאת תוקף של פסק דין להסדר הפשרה המתוקן מיום 31.3.2014 (מסומן "א").

ב) הגמול לתובע הייצוגי יעמוד על 100,000 ש"ח וישולם לו תוך 30 ימים מהיום. שכר הטרחה לבאי-כוח המבקש בהליך זה יעמוד על 350,000 ש"ח לכל היותר. מתוך סכום זה, 275,000 ש"ח ישולמו לבאי-כוח המשיב תוך 30 ימים מהיום. ביום 15.7.2014 תגיש המבקשת 1 לבית משפט זה דו"ח מאומת בתצהיר של בעל תפקיד בכיר, בדרגת סמנכ"ל ומעלה, בו יוצגו נתונים מדויקים בנוגע לקצב מימוש הסדר הפשרה. עם קבלת הדו"ח נחליט באשר לתשלום יתרת שכר הטרחה לבאי הכוח המייצגים.

ג) העתקים של פסק הדין והסדר הפשרה המתוקן (מיום 31.3.2014) יישלחו ליועץ המשפטי לממשלה ולמנהל בתי המשפט.
