64. סייגים לפירוק שותפות מוגבלת
(א)שותפות מוגבלת לא תפורק במותו של שותף מוגבל או כשהוכרז פושט רגל; נטרפה דעתו של שותף מוגבל לא ישמש הדבר עילה לפירוק על פי צו בית המשפט אלא אם אין דרך אחרת לברר מה חלקו בשותפות וכיצד לממש אותו.
(ב)הוחלט על פירוקה של שותפות מוגבלת, יפרקו השותפים הכלליים את עסקיה, זולת אם הורה בית המשפט על דרך אחרת.
