תיקון: תשפ״ו
בתקנות אלה –
”מועמד“ – מועמד לכהונת דירקטור חיצוני;
”קשר זניח“ – קשר שאין בו כדי לפגוע באי־תלותו של הדירקטור החיצוני, בשים לב, בין השאר, למהות הקשר ולטיבו, למועד היווצרותו, להתמשכותו ולגורמים שביניהם הוא מתקיים;
”תקנות הגמול“ – תקנות החברות (כללים בדבר גמול והוצאות לדירקטור חיצוני), התש״ס–2000.
