19. אחריות נושא משרה
(א)נושא משרה בתאגיד חייב לפקח ולעשות כל שניתן למניעת ביצוע עבירות לפי תקנות אלה בידי התאגיד או בידי עובד מעובדיו; לעניין זה, ”נושא משרה בתאגיד“ – מנהל פעיל בתאגיד, שותף, למעט שותף מוגבל, או אדם האחראי מטעם התאגיד על התחום שבו נעברה העבירה.
(ב)נעברה עבירה לפי תקנות אלה בידי תאגיד או בידי עובד מעובדיו, חזקה היא כי נושא המשרה בתאגיד הפר את חובתו לפי תקנת משנה (א), אלא אם כן הוכיח כי עשה כל שניתן כדי למלא את חובתו.
