14. אי ידיעה על היזמות
לא ידע הצד השלישי בעת הפעולה על קיומה של היזמות, יחולו הוראות אלה:
(1)פעולת היזם תחייב או תזכה את היזם לפי הענין;
(2)משנתאגדה החברה רשאית היא לאשר את הפעולה, ובלבד שהאישור אינו נוגד את הפעולה לפי מהותה, תנאיה או נסיבות הענין; אישרה החברה את הפעולה – תחייב פעולת היזם את החברה וגם את היזם, ביחד ולחוד, ותזכה רק את החברה.
