נודע לדירקטור על ענין של החברה שנתגלו בו לכאורה הפרת חוק או פגיעה בנוהל עסקים תקין, יפעל בלא דיחוי לזימון ישיבה של הדירקטוריון כאמור בסעיף 98(ב)(2).
