266. זכות להעסיק יועצים
(א)לצורך ביצוע תפקידו זכאי דירקטור, במקרים מיוחדים, לקבל ייעוץ מקצועי על חשבון החברה, אם כיסוי ההוצאה אושר על ידי דירקטוריון החברה או על ידי בית המשפט.
(ב)בית המשפט, בבואו להחליט בבקשה כאמור בסעיף קטן (א) ישקול, בין היתר, האם המומחים של החברה אינם מספקים את הסיוע הנדרש לדירקטור לצורך מילוי תפקידו, ואת הסבירות של הסכום המבוקש בהתחשב בעילה לבקשת הייעוץ ובמצבה הכספי של החברה.
