329. חוות דעת הדירקטוריון
הוצעה הצעת רכש מיוחדת, יחווה דירקטוריון חברת המטרה את דעתו לניצעים בדבר כדאיותה של הצעת הרכש המיוחדת או יימנע מלחוות את דעתו בדבר כדאיותה של הצעת הרכש המיוחדת, אם אינו יכול לעשות כן, ובלבד שידווח על הסיבות להימנעותו; הדירקטוריון יגלה גם כל ענין אישי שיש לכל אחד מן הדירקטורים בהצעת הרכש או הנובע ממנה.
