חבר ועדת ביקורת שנתמנה לפי סעיף 348 לפקודה לא יקבל, בין במישרין ובין בעקיפין, כל תשלום, מתנה, תמורה או טובת הנאה כספית אחרת בעד פעולה שעשה או שירות שנתן במסגרת ניהול נכסי החברה, אולם רשאי בית המשפט, בנסיבות מיוחדות ומטעמים שיירשמו, לקצוב תשלום בעד פעולות או שירותים מיוחדים שניתנו כאמור.
