310. תוצאות חלוקה אסורה
(א)ביצעה חברה חלוקה אסורה, יהיה על בעל מניה להשיב לחברה את שקיבל, זולת אם לא ידע ולא היה עליו לדעת כי החלוקה שבוצעה אסורה.
(ב)חזקה על בעל מניה בחברה ציבורית, שלא היה דירקטור, מנהל כללי או בעל השליטה בחברה במועד החלוקה, שלא ידע ולא היה עליו לדעת, כי חלוקה שבוצעה היא חלוקה אסורה.
