פסק-דין
1.בית המשפט המחוזי בתל-אביב-יפו דחה תביעה כספית שהוגשה על ידי המערערת וכן דחה תביעה שכנגד שהגישה המשיבה. שני הצדדים פנו לבית משפט זה בערעור ובערעור שכנגד.
2.המערערת הקימה, על פי הסכם עם המשיבה, מרכז מסחרי בבאר-שבע. בתביעה טענה המערערת כי לא שולם לה מלוא הסכום שהגיע לה. המשיבה טענה מצידה היא כי נגרמו לה נזקים כתוצאה מהתנהלותה של המערערת. התביעה הועמדה על סכום העולה על 15 מיליון ש"ח והתביעה שכנגד נקבה בסכום דומה.
3.שאלה מרכזית שעמדה לדיון הייתה האם ההסכם שנעשה הינו הסכם פאושלי. בית משפט קמא פסק שאכן כך. לאחר שבחנו את הטענות, סבורים אנו שאכן צדק בית המשפט המחוזי בקביעתו בנושא זה, וכך אף בפלוגתאות האחרות שהונחו בפניו. מכאן מסקנתנו שאין להתערב בפסק-הדין, לא לכאן ולא לכאן.
4.אשר על כן, אנו דוחים את הערעור ואת הערעור שכנגד. לא ייעשה צו להוצאות.
