ערעור על פסק דינו של בית המשפט המחוזי בתל אביב-יפו מיום 11.2.2010 (כבוד השופטת ר' רונן) בת"א 1589/06.

1.המערערת 2 הפיצה את מוצרי המשיבה 1 (להלן: טרה) בעיר אילת החל מסוף שנות השבעים. ביום 5.11.1991 נחתם בין השתיים הסכם לפיו ניתנה למערערת 2 הזכות להפיץ את מוצרי טרה בעיר אילת (להלן: הסכם ההפצה). סעיף 10 להסכם ההפצה, שהוא הסעיף הרלבנטי לענייננו, קובע כי טרה זכאית להפסיק את ההתקשרות בין הצדדים בהודעה של שלושה חודשים מראש (להלן: תקופת ההודעה מראש).

בשנת 2000 העבירה המערערת 2 את זכויות השיווק וההפצה על פי ההסכם לחברה קשורה, היא המערערת 1 (להלן: המערערת).

ביום 24.9.2003 הודיעה טרה למערערת על ביטול הסכם ההפצה החל מיום 1.1.2004. בעקבות הודעת הביטול נוהל משא ומתן בין הצדדים, וביום 23.5.2004 נחתם ביניהם מסמך שכותרתו "שינוי תנאים מסחריים", אשר כשמו כן הוא, הכניס שינויים בתנאים שונים שנכללו בהסכם ההפצה. מסמך השינויים לא התייחס ולא שינה את סעיף 10 להסכם ההפצה.

בסוף שנת 2004 העבירה טרה את פעילותה למשיבה 2 (להלן: מילקו), אשר ביום 17.11.2004 הפעילה את זכות הביטול על פי הסכם ההפצה והודיעה למערערת על ביטול הסכם ההפצה תוך שלושה חודשים ממועד ההודעה בהתאם לתקופת ההודעה מראש שנקבעה בהסכם ההפצה. בהמשך, ומאחר שהמערערת צברה חוב כלפי מילקו, הודיעה מילקו ביום 19.1.2005 על ביטול מיידי של ההסכם והגישה כנגד המערערת תביעה בסדר דין מקוצר לתשלום החוב, תביעה שנתקבלה לאחר שנדחתה בקשת הרשות להתגונן שהגישה המערערת.

2.המערערות הגישו כנגד טרה ומילקו תובענה כספית ל בית המשפט המחוזי בסכום של כ-3.5 מליון ₪, בטענה כי הפרו את התחייבותן ליתן הודעה מוקדמת של כשנה-שנה וחצי "על פי הנוהג המסחרי המקובל", וכתוצאה מכך נגרמו למערערות נזקים כבדים עקב אבדן השקעותיהן. עוד נטען כי טרה ומילקו התעשרו שלא כדין על חשבון המערערות בכך שזכו בשוק שנבנה על ידי המערערות לאורך שנים.

3.בית משפט קמא בחן את מערכת ההסכמים בין הצדדים, ודחה את טענת המערערת כי סעיף 10 להסכם ההפצה היה מוגבל לתקופה של שנה אחת בלבד, או שהוסכם בין הצדדים, במפורש או מכללא, בכתב או בעל פה, על שינוי תקופת ההודעה מראש לאור אופיו הדינמי של הסכם ההפצה. בין היתר, הצביע בית משפט קמא על כך שהטענה כי תוקפו של סעיף 10 להסכם ההפצה הוגבל לשנה אחת בלבד, אינה נלמדת מלשון הסכם ההפצה ואינה הגיונית; כי ביטול ההסכם על ידי טרה ביום 24.9.2003 והמו"מ שהתנהל בעקבותיו מוכיח כי הצדדים ראו את סעיף 10 כתקף; וכי לא הוכח כל שינוי בתנאי סעיף 10 להסכם ההפצה. לסופו של יום, דחה בית משפט קמא את התביעה.

4.על כך נסב הערעור שלפנינו בו חזרו המערערות על טיעוניהן בפני בית משפט קמא, ועתרו להתערבותו של בית משפט זה גם מנימוקים שלא הופיעו בכתב הערעור כמו חוזה אחיד ותקנת הציבור, באשר לטענתם, קשה להלום תקופת הודעה מראש של שלושה חודשים בלבד, נוכח מערכת היחסים הארוכה בין הצדדים.

5.לאחר שעיינו בחומר שהוגש לנו על ידי הצדדים ושמענו את טיעוני הצדדים בדיון שהתקיים בפנינו, נחה דעתנו כי אין מקום להתערב בפסק דינו המנומק של בית משפט קמא ואנו מאמצים אותו על פי סמכותנו לפי סעיף 460(ב) לתקנות סדר הדין האזרחי, התשמ"ד-1984, באשר אין מקום לדחות את הממצאים העובדתיים שנקבעו בו, הממצאים שנקבעו כאמור תומכים במסקנה המשפטית שאליה הגיע בית המשפט ואין למצוא במסקנה זו טעות שבחוק.

המערערות ישאו בשכר טרחת המשיבות בסך 30,000 ₪.
