השופטת מ' נאור:

1.לפנינו שתי עתירות שהדיון בהן אוחד הנוגעות לאגודה השיתופית קיבוץ הר עמשא בע"מ. העתירה הראשונה (בג"ץ 5997/09) עניינה דרישה כי רשם האגודות השיתופיות ישנה את סיווגה של האגודה. עוד התבקשו סעדים הנוגעים למתן הזדמנות לתושבי היישוב להתקבל כחברים באגודה. כמו כן נדרשו המשיבים לנמק מדוע לא יפוזר לאלתר הועד הממונה של היישוב ועוד. מן הטעם עליו נעמוד בהמשך – אין צורך להרחיב.

2.בסמוך לאחר הגשת העתירה הודיע העותר כי ביום בו הוגשה העתירה (22.7.2009), בעת שמזכיר הועד מסר את העתירה לרשם האגודות השיתופיות, הודיע לו הרשם כי באותו יום עצמו ניתן על ידי הרשם צו פירוק נגד האגודה, וכי עו"ד שגיא מירום מונה כמפרק. העתירה השניה בג"ץ 1994/10 הוגשה ביום 11.3.2010. עתירה זו חופפת בחלקה לעתירה הראשונה. אחד הסעדים שהתבקש בעתירה זו הוא ביטול צו הפירוק אשר לטענת העותרים ניתן שלא כדין. לחלופין מבקש העותר 1 להתמנות בעצמו כמפרק.

3.סברנו כי ראוי לדון תחילה בשאלת צו הפירוק שניתן. אנו סבורים כי המדינה צדקה כאשר טענה, עוד במסגרת העתירה הראשונה, כי מינוי המפרק מהווה קו פרשת המים המשנה לחלוטין את המצב מבחינה עובדתית ומשפטית, שכן החל מיום 22.7.2009 הסמכויות העיקריות לניהול והפעלת האגודה הן בידי המפרק. על טענה זו חזרה המדינה גם במסגרת העתירה השנייה. הודענו לצדדים בדיון שהתקיים בפנינו כי אנו מבקשים לשמוע תחילה טענות רק בנושא הפירוק, וכי על פי ההחלטה שתיפול נשקול אם יש מקום לדיון בשאר הנושאים שהועלו במסגרת העתירות הנוכחיות.

4.נוכח המסקנה אליה הגענו לפיה דין הבקשה לבטל את מינוי המפרק להידחות לא ראינו מקום להיזקק לשאר חלקי העתירות. לא ראינו גם מקום לעסוק בטענות שונות שהעלו משיבים שונים כנגד העותרים וכנגד מעמדם של העותרים שאינם חברים באגודה בהליכים אלה. טענות הצדדים שמורות להם.

5.מכתבי בית הדין שלפנינו עולה כי תחילה נעשה פרסום שגוי ברשומות לפיו החלטת הפירוק של הרשם נעשתה מכוח סעיף 46 לפקודת האגודות השיתופיות. מטעם זה הגישו העותרים תחילה ערעור לשר התמ"ת. ערעור זה נדחה על הסף על ידי היועץ המשפטי, מיכאל אטלן, לו אצל שר התמ"ת את סמכותו, וזאת בשל כך שהחלטת הפירוק נעשתה לאמיתו של דבר מכוח סעיף 47 לפקודת האגודות השיתופיות ועל כן השר נעדר סמכות להיזקק לערעור כזה. זה המקום להעיר כי סמכות הפיקוח על החלטות רשם האגודות השיתופיות מתחלקת בין בתי המשפט לעניינים מינהליים, שר התמ"ת ובית המשפט הגבוה לצדק, כאשר בית המשפט הגבוה לצדק דן רק באותם עניינים בהם אין למבקשים סעד חלופי לתקיפת החלטות הרשם. דומה כי סוגיית הערעור על החלטות שונות של הרשם ראויה לבחינה מחדש של המחוקק ולהסדר פשוט יותר, וראוי שהמחוקק ייתן על כך את הדעת.

6.נחזור לסוגיית פירוק האגודה. סעיף 47 לפקודת האגודות השיתופיות קובע:

סמכותו של הרשם לצוות על האגודה להתפרק כשעמד מספר החברים על פחות מן המינימום הקבוע

47.אם הוכח כדי הנחת דעתו של הרשם שמספר חברי אגודה פחת ועמד על פחות מן המספר הדרוש לרישומה של אגודה כזאת עפ"י סעיף 6, יצווה על אותה אגודה להתפרק.

7.ככל העולה מכתבי בית הדין שלפנינו באגודה ישנה חברה אחת – היא המשיבה 14. בכך אין די ולכן ניתן לפעול כאמור בסעיף 47 (ראו סמדר אוטולנגי אגודות שיתופיות - דין ונוהל כרך א 134 ה"ש 11 (1995); חיים נועם אגודות שיתופיות - הלכות ופסיקה 8 (מהדורה מעודכנת לדצמבר 2006, ערן שאקי עורך)). גם המשיבה 14 החברה היחידה באגודה תומכת בהחלטת הרשם לפרק את האגודה. למעשה גם העותרים מחזיקים בעמדה כי בנסיבות שכאלה יש להורות על פירוק. כפי שנטען בסעיף 81 לעתירה ב- בג"ץ 5997/09:

"81. זאת ועוד ביום 23.11.03 התק"מ ומשקי התק"מ הודיעו לרשם האגודות על סיום חברותם בקיבוץ, בהתאם נותר רק חבר אחד באגודה והוא ניר שיתופי. רשם האגודות היה מחויב לפרק את האגודה ע"פ פקודת האגודות השיתופיות והדבר לא נעשה" [ההדגשה הוספה - מ"נ]

העותרים חזרו על טענה זו גם בסעיף 108 לעתירה ב- בג"ץ 1994/10. מכל מקום, העותרים עצמם טענו כי לא ניתן "לקיים אגודות מסוג קיבוץ ללא חברים בשר ודם" (סעיף 71 לעתירה ב- בג"ץ 5997/09; סעיף 98 לעתירה ב- בג"ץ 1994/10). כך גם בהתכתבויות השונות שצורפו לעתירה כותבים מי מהעותרים לרשויות השונות כי "אגודה לא יכולה להיות מוגדרת כקיבוץ מבלי שיש בה חברים של ממש" ואף מבקשים מפורשות "להורות על פירוק" (נספח כד לעתירה ב- בג"ץ 5997/09 ונספח כד לעתירה ב- בג"ץ 1994/10). הדברים חזרו גם בפניית מי מהעותרים לשר התמ"ת שם נכתב כי "אגודה לא יכולה להיות מוגדרת כקיבוץ מבלי שיש בה חברים של ממש" (נספח ב1 לנספח כה ב- בג"ץ 1994/10). העותר 3 ב- בג"ץ 1994/10 החתום גם על העתירה ב- בג"ץ 5997/09 אף פנה לרשם מפורשות בבקשה לפירוק האגודה (ראו נספח כה לעתירה ב- בג"ץ 5997/09 ונספח כה לעתירה ב- בג"ץ 1994/10). הנה כי כן, בהחלטה ליתן צו פרוק פעל הרשם למעשה כפי שביקשו העותרים. מה להם אפוא כי ילינו? אכן, ייתכן וראוי היה ליתן צו פירוק מכוח הסעיף האמור עוד לפני שנים אך לא ראינו מקום להתערב בהחלטה לעשות כן עתה, כפי שבעצם ביקשו העותרים עצמם. והנה, לאחר הדיון במעמד הצדדים הגישו העותרים "בקשה דחופה להשלמת טיעון" ובפועל השלימו את טיעוניהם בלי שקיבלו רשות לכך. העותרים שבו וטענו כי "היה על המשיב 2 לפרק את המשיבה כבר בשנת 1995 כאשר לא היו יותר חברים בשר ודם". כמו כן הם טענו כי "הם אינם מתנגדים לפירוק האגודה בתנאי כי הדבר יעשה תוך שבועות ספורים וכי בסופו האגודה תימחק". בכך מעמידים העותרים את המחלוקת האמיתית באופן שונה משהוזכר בעתירה. לא מחלוקת על הפירוק עצמו אלא על תכלית הפירוק ועל האופן בו יסתיים הפירוק. ואולם, אין מקום לתיקון עקיף של העתירה לאחר הדיון במעמד הצדדים.

8.רשמנו לפנינו את הודעתו של המפרק עו"ד מירום כפי שנמסרה לשר התמ"ת ועליה חזר לפנינו, כי בדיקת הוכחת החוב שהוגשה לו על ידי הסוכנות תבוצע על ידי גורם מקצועי חיצוני ותובא לרשם האגודות, וכך נשלל חשש לניגוד עניינים העשוי לנבוע מכך שהמפרק הוא בנו של גזבר הסוכנות היהודית. העותרים טוענים כי עניין תביעת החוב הוא רק אחד מבין שורה של עניינים בהם תהיה אינטראקציה בין הסוכנות למפרק ואולם בשלב זה מ דובר בספקולציה ואך מובן הוא כי אם יתעורר חשש לניגוד עניינים בהיבטים אחרים מול הסוכנות יתנו המפרק והרשם את דעתם לכך וידאגו להסרתו של החשש. בכפוף לכך, לא ראינו ממש בטענות נגד מינויו של עו"ד מירום, שנבחר לתפקיד בשל נסיונו בכגון דא.

9.נוכח העובדה כי לא ראינו מקום להתערב בהחלטה על מינוי מפרק בשאר העניינים שהועלו בעתירות אין מקום לדון בדרך ובצורה שהועלו.
