השופט א' גרוניס:

1.אכן, בגדר הליך של בקשה למתן הוראות המוגש לבית המשפט של חדלות פרעון רשאי הנאמן בהקפאת הליכים לעתור, במקרים מסוימים, לסעד נגד צד שלישי (בהקשר זה ראו, ורדה אלשיך ו גדעון אורבך, הקפאת הליכים - הלכה למעשה (2005), עמ' 198-188). עם זאת, סבורני כי בנסיבות המקרה דנא שגה בית משפט קמא משחייב את המבקשת (להלן - המועצה), בגדר בקשה כאמור, בתשלום סכום כספי לטובת המשיבים (להלן - החברה והנאמן, בהתאמה) בגין העבודות הנוספות אשר בוצעו על ידי החברה לאחר מתן צו ההקפאה. ההתקשרות בין המועצה לבין החברה הינה התקשרות ארוכת טווח, אשר תחילתה עובר למתן צו הקפאת ההליכים וסופה בתקופה שלאחר מתן צו זה (להלן - התקופה הראשונה והשנייה, בהתאמה). בפי המועצה טענות שונות נגד דרישותיו הכספיות של הנאמן ביחס לשתי התקופות הנזכרות. זאת ועוד, על פי קביעתו של בית המשפט המחוזי, הסכמת הנאמן לביצוע העבודות הנוספות בתקופה השנייה הותנתה בתשלום סכום מסוים על חשבון חובות עבר בגין התקופה הראשונה. משכך, לא היה מקום לפצל את הדיון באופן שהמחלוקת לגבי שתי התקופות תוכרע בשני הליכים שונים. תחת זאת, משהגיעה הערכאה הדיונית לכלל מסקנה כי המחלוקת בין המועצה לנאמן לגבי התקופה הראשונה סבוכה מכדי שניתן יהיה להכריע בה בגדר בקשה למתן הוראות, הרי שהיה מקום כי תורה שהסכסוך כולו יידון בהליך של תובענה רגילה.

2.לאור האמור, הוחלט לדון בבקשת רשות הערעור כאילו ניתנה רשות והוגש ערעור על פי הרשות שניתנה. התוצאה היא כי הערעור מתקבל והחלטתו של בית המשפט המחוזי מבוטלת בחלקה, אך ככל שמתייחסת היא לחיובה הכספי של המועצה. תביעותיו הכספיות של הנאמן יתבררו במלואן בגדר הליך של תובענה רגילה אשר יגיש הנאמן נגד המועצה, אם יראה לנכון לעשות כן. משלא הועלתה בפנינו השגה נגד קבלת בקשתה של המועצה בעניין מימושה של הערבות הבנקאית אשר ניתנה לטובתה, איננו רואים לנכון להתייחס לסוגיה זו. בנסיבות העניין לא ייעשה צו להוצאות.
